Jenis Informasi atau Fakta Material Rencana Penambahan Modal Dengan Memberikan Hak
Memesan Efek Terlebih Dahulu
Uraian Informasi atau Fakta Material Perseroan berencana untuk melakukan Penambahan Modal
dalam jumlah sebanyak banyaknya 3.600.000.000 (tiga miliar
enam ratus juta) saham baru atau sebesar maksimum 17,48%
(tujuh belas koma empat delapan persen) dari jumlah seluruh
saham yang ditempatkan dan disetor penuh oleh Perseroan
pada saat tanggal Keterbukaan Informasi ini diterbitkan.
Dalam hal penyetoran atas Saham Baru dilakukan dalam
bentuk lain selain uang, penyetoran dengan bentuk lain selain
uang tersebut wajib memenuhi ketentuan sebagaimana diatur
dalam POJK No. 32 yakni sebagai berikut:
1. terkait langsung dengan rencana penggunaan dana;
2. menggunakan penilai untuk menentukan nilai wajar dari
bentuk lain selain uang yang digunakan sebagai penyetoran
dan kewajaran transaksi penyetoran atas Saham Baru dalam
bentuk selain uang;
3. dalam hal penyetoran atas Saham Baru berupa hak tagih
kepada Perseroan yang dikompensasikan sebagai setoran
Saham Baru, hak tagih tersebut harus sudah dimuat dalam
laporan keuangan terakhir Perseroan yang telah diaudit oleh
akuntan; dan
4. memenuhi ketentuan peraturan perundang-undangan lain
yang mengatur mengenai penyetoran atas saham dalam
bentuk lain selain uang dan kompensasi hak tagih sebagai
setoran Saham Baru.

Dampak kejadian, informasi atau fakta Penambahan Modal dilakukan oleh Perseroan untuk
material tersebut terhadap kegiatan memperkuat struktur permodalan Perseroan sehingga
operasional, hukum, kondisi keuangan, memberikan Perseroan tambahan dana untuk mendukung
atau kelangsungan usaha Emiten atau kinerja Perseroan. Apabila pemegang saham Perseroan tidak
Perusahaan Publik melaksanakan hak memesan efek terlebih dahulu yang
dimiliki olehnya dalam Penambahan Modal, maka kepemilikan
pemegang saham Perseroan tersebut akan terkena dilusi
dengan persentase maksimum sebesar 17,48% (tujuh belas
koma empat delapan persen) dari jumlah kepemilikan
sahamnya di Perseroan.

The Proposr Capital Increase With Pre-Emptive Rights
Type of Material Information or Facts
Description of Material Information or The Company plans to conduct a capital increase of up to
Facts 3,600,000,000 (three billion six hundred million) new shares or
a maximum of 17.48% (seventeen point four eight percent) of
the total issued and fully paid-up shares by the Company as of
the date of this Information Disclosure is published. In the
event that the payment for the New Shares is made in a form
other than cash, such payment must comply with the
provisions set forth in POJK No. 32, as follows:
1. be directly related to the planned use of funds;
2. engaging an appraiser to determine the fair value of the
non-cash contributions used as payment and to assess the
fairness of the contribution transaction for the subscription of
New Shares in a form other than cash;
3. in the event that the payment of the New Shares is made in
the form of receivables against the Company which are
compensated as a contribution for the New Shares, such
receivables must be recorded in the Company's latest financial
statements audited by an accountant; and
4. complying with the provisions of other applicable laws and
regulations governing the contribution of shares in forms other
than cash and the compensation of receivables as payment
for New Shares.
Impact of event, material information or The Capital Increase is carried out by the Company to
facts towards Issuers or Public strengthen its capital structure, providing additional funds to
Company’s operational activities, legal, support the Company's performance. If the Company's
financial condition, or going concern shareholders do not exercise their pre-emptive rights in the
Capital Increase, their shareholding in the Company will be
diluted by a maximum percentage of 17.48% (seventeen point
four eight percent) of their total share ownership in the
Company.
