Merujuk kepada keterbukaan informasi Perseroan melalui surat No 014/MERS/V/CORSEC/26 tanggal 29
Mei 2026, telah diinformasikan adanya rencana pengambilalihan seluruh saham Perseroan yang dimiliki
oleh Pemegang Saham Pengendali Perseroan oleh PT Triple Berkah Bersama (“Triple B”). Adapun
berdasarkan pengikatan jual beli yang telah ditandatangani, pembelian akan dilakukan dalam 2 (dua)
tahap pada harga Rp 12, dimana:
1.    541.666.667 saham Perseroan yang dimilliki Pemegang Saham Pengendali akan dibeli oleh Triple B
      selambat-lambatnya pada hari Rabu, 24 Juni 2026; dan
2.    600.004.433 saham Perseroan yang dimiliki Pemegang Saham Pengendali akan dibeli oleh Triple B
      selambat-lambatnya pada hari Kamis, 23 Juli 2026.

Bahwa pada hari Rabu, 24 Juni 2026, Triple B telah menyelesaikan pembelian tahap pertama atas saham
Perseroan yang dimiliki Pemegang Saham Pengendali melalui Pasar Negosiasi. Sehubungan dengan hal
ini, total saham Perseroan yang dimiliki Triple B adalah sebanyak 767.066.800 saham atau setara dengan
23.22% kepemilikan. Sebaliknya, saham Perseroan yang dimiliki oleh masing-masing Pemegang Saham
menjadi sebagai berikut: (i) saham milik Drs. Ryan Permana berkurang menjadi 349.384.900 saham atau
setara dengan 10.58% kepemilikan; dan (ii) saham milik Nessy Sarinda berkurang menjadi 250.619.400
saham atau 7.59% kepemilikan.

Demikian Press Release ini Perseroan sampaikan sehubungan dengan perkembangan negosiasi
pengambilalihan Perseroan oleh Triple B.

                                                  PRESS RELEASE

Referring to the Company’s information disclosure through Letter No. 014/MERS/V/CORSEC/26 dated 29
May 2026, it has been informed the ongoing takeover plan for all shares of the Company which are owned
by the Controlling Shareholders by PT Triple Berkah Bersama (“Triple B”). Based on the signed conditional
sale purchase agreement, purchase will be exercised in 2 (two) phases at Rp 12:
1.    541,666,667 shares of the Company owned by the Controlling Shareholders will be purchased by
      Triple B on the latest by Wednesday, 24 June 2026; and
2.    600,004,433 shares of the Company owned by the Controlling Shareholders will be purchased by
      Triple B on the latest by Wednesday, 23 July 2026.

Whereas on Wednesday, 24 June 2026, Triple B has completed the first phase purchase of the Company’s
shares owned by the Controlling Shareholders through the Negotiated Market. In connection with this,
the total shares of the Company owned by Triple B become as much as 767,066,800 shares or equivalent
to 23.22% ownerships. On the other hand, the total shares of the Company owned by each Controlling
Shareholders have reduced to the followings: (i) shares owned by Drs. Ryan Permana have been reduced
to 349,384,900 shares or equivalent to 10.58% ownerships; and (ii) shares owned by Nessy Sarinda have
been reduced to 250,619,400 shares or 7.59% ownerships.

Thus, we convey this Press Release in connection with the updates on the negotiation for the takeover of
the Company by Triple B.
