pengendali Perseroan yang tidak menyebabkan perubahan
pengendali Perseroan.
Uraian Informasi atau Fakta Material Sesuai dengan informasi pada Bab I Prospektus Penawaran
Umum Perdana Saham Perseroan yang diterbitkan pada
tanggal 3 Januari 2025 yang telah diungkapkan, setelah
Penawaran Umum Perdana Saham Perseroan, pemegang
saham pengendali Perseroan yang merupakan kelompok yang
terorganisasi, terdiri dari Rudy Chandra, Hendrianto Thamrin
dan Robert Njo, yang sebelumnya secara bersama-sama
memiliki 80% (delapan puluh persen) dari modal ditempatkan
dan disetor penuh dalam Perseroan, telah melakukan
transaksi pengalihan sebanyak 1.625.000.000 (satu miliar
enam ratus dua puluh lima juta) saham Perseroan kepada
SEP International Netherlands B.V. berdasarkan Perjanjian
Jual Beli Saham Bersyarat tanggal 8 November 2024.
Dampak kejadian, informasi atau fakta Perseroan akan memperoleh tambahan sumber daya dan
material tersebut terhadap kegiatan pengalaman dari SEPI dan Yonden untuk mengembangkan
operasional, hukum, kondisi keuangan, pembangkit listrik energi baru terbarukan dalam rangka
atau kelangsungan usaha Emiten atau kegiatan usaha Perseroan. Pelaksanaan transaksi pengalihan
Perusahaan Publik saham tidak akan mengubah pengendali Perseroan.

Transfer of shares transaction by the controlling shareholders
Type of Material Information or Facts that does not cause a change of the controlling party of the
Company.
Description of Material Information or In accordance with the information in Chapter I of the
Facts Company's Initial Public Offering Prospectus issued on 3
January 2025, which has been disclosed, after the Initial Public
Offering of the Company, the controlling shareholders of the
Company, which is an organized group, consisting of Rudy
Chandra, Hendrianto Thamrin and Robert Njo, who previously
collectively own 80% of the issued and paid up capital in the
Company, has carried out a transfer transaction of
1,625,000,000 of the Company's shares to SEP International
Netherlands B.V. based on the Conditional Share Sale and
Purchase dated 8 November 2024.
Impact of event, material information or The Company will acquire additional resources and experience
facts towards Issuers or Public from SEPI and Yonden to develop renewable energy plants for
Company’s operational activities, legal, the Company's business activities. The implementation of the
financial condition, or going concern share transfer transaction will not change the Company's
controlling party.
