Hendrianto Thamrin, dan Robert Njo kepada
SEP International Netherlands B.V. (“SEPI”),
dalam rangka pelaksanaan Perjanjian Jual Beli
Saham Bersyarat tertanggal 8 November 2024
(“PPJB”) sebagaimana telah diungkapkan
dalam Bab I Prospektus yang diterbitkan
Perseroan pada tanggal 3 Januari 2025.

Uraian Informasi atau Fakta Material

Sesuai dengan informasi pada Bab I Prospektus
Penawaran Umum Perdana Saham Perseroan
yang diterbitkan pada tanggal 3 Januari 2025
yang telah diungkapkan, setelah Penawaran
Umum Perdana Saham Perseroan, pemegang
saham pengendali Perseroan yang merupakan
kelompok terorganisasi, terdiri dari Rudy
Chandra, Hendrianto Thamrin dan Robert Njo,
yang secara bersama-sama memiliki 8045
(delapan puluh persen) dari modal ditempatkan
dan disetor penuh dalam Perseroan, akan
melakukan transaksi pengalihan sebanyak
1.625.000.000 (satu miliar enam ratus dua
puluh lima juta) saham Perseroan kepada SEPI
berdasarkan PPJB.

Dengan pelaksanaan transaksi tersebut di atas
tidak terjadi perubahan pengendalian dalam
Perseroan, dan setelah transaksi pengalihan
saham tersebut, kelompok yang terorganisasi
sebagai pemegang saham Pengendali Perseroan
yakni Rudy Chandra, Hendrianto Thamrin dan
Robert Njo secara bersama-sama memiliki
sebesar 55,004 (lima puluh lima persen) dari
seluruh saham yang dikeluarkan oleh
Perseroan.

Berikut ini struktur permodalan dan susunan
pemegang saham sebelum dan setelah
pelaksanaan transaksi pengalihan saham oleh
kelompok yang terorganisasi kepada SEPI.

Company's controlling shareholders i.e., Rudy
Chandra, Hendrianto Thamrin, and Robert Njo
to SEP International Netherlands B.V.
(“SEPP”), for the implementation of the
Conditional Share Sale and Purchase
Agreement dated November 8", 2024
(“CSPA”) as disclosed in Chapter I of the
Prospectus issued by the Company on January
37 2025.

Material Information or Facts Description

In accordance with the information in Chapter I
of the Company's Initial Public Offering
Prospectus issued on January 34, 2025, which
has been disclosed, after the Initial Public
Offering of the Company, the controlling
shareholders of the Company, which is an
organized group, consisting of Rudy Chandra,
Hendrianto Thamrin and Robert Njo, who
collectively own 80Y6 (eighty percent) of the
issued and fully paid-up capital in the
Company, will carry out a transfer transaction
of 1,625,000,000 (one billion six hundred and
twenty-five million) of the Company's shares to
SEPI based on the CSPA.

With the implementation of the aforementioned
transaction, there is no change in control of the
Company, and after the share transfer
transaction, the organized group as the
controlling shareholders of the Company,
namely Rudy Chandra, Hendrianto Thamrin
and Robert Njo, collectively owns 55.00Y6
(fifty-five percent) of all shares issued by the
Company.

The following is the capital structure and
composition of the shareholders before and
after the implementation of the share transfer
transaction by the organized group to SEPI.

Tujuan Transaksi

SEPI merupakan anak perusahaan yang dimiliki
sepenuhnya oleh Shikoku Blectric Power
Company, Inc. (“Yonder”), suatu perusahaan
publik di Jepang yang telah mencatatkan
: sahamnya di Bursa Efek Tokyo sejak tahun
: 1954. Yonden adalah salah satu dari sepuluh
perusahaan utilitas listrik utama di Jepang yang
berfokus pada pembangkitan, transmisi, dan
distribusi listrik kepada pelanggan di seluruh
| wilayah Shikoku di Jepang. Yonden dan SEPI
sebagai mitra strategis potensial memberikan
komitmen untuk menambahkan keahlian teknis
Perseroan serta lebih mendorong jalur
pertumbuhan Perseroan.

Dampak kejadian, informasi atau fakta
material tersebut terhadap kegiatan
Operasional, hukum, kondisi keuangan, atau
kelangsungan usaha Emiten atau
Perusahaan Publik

Perseroan akan memperoleh tambahan sumber
daya dan pengalaman dari SEPI dan Yonden
untuk mengembangkan pembangkit listrik
energi baru terbarukan dalam rangka kegiatan
usaha Perseroan. Pelaksanaan transaksi
pengalihan saham tidak akan mengubah
pengendali Perseroan.

Keterangan lain

Demikian laporan ini disampaikan, setelah
Perseroan memperoleh laporan kepemilikan
saham kelompok yang terorganisasi tersebut
dan SEPI tanggal 24 Januari 2025 sesuai
dengan Peraturan Otoritas Jasa Keuangan No. 4

Purpose of Transaction

SEPI is a wholly-owned subsidiary of Shikoku
Electric Power Company, Inc. (“Yonden”), a
public company in Japan that has been listed on
the Tokyo Stock Exchange since 1954. Yonden
is one of the top ten electric utility companies in
Japan that focuses on generation, transmission,
and distribution of electricity to customers
throughout the Shikoku region of Japan.
Yonden and SEPI as potential strategic partners
are committed to adding the Company's
technical expertise and further encouraging the
Company's growth path.

The impact of such material event,
information or facts on the operational, legal,
financial condition, or business continuity of
the Issuer or Public Company

The Company will acguire additional resources
and experience from SEPI and Yonden to
develop renewable energy plants for the
Company's business activities. The
implementation of the share transfer transaction
will not change the Company's controlling

party.

dated 24 January 2025 in accordance with the
