3. Uraian Informasi atau Fakta Mengacu pada:
Material a. POJK No. 31/POJK.04/2015 tentang Keterbukaan atas
Informasi atau Fakta Material oleh Emiten atau
Perusahaan Publik, tertanggal 10 Desember 2015
(“POJK 31/2015”).
b. POJK No. 17/POJK.04/2020 tentang Transaksi Material
Dan Perubahan Kegiatan Usaha, tertanggal 20 April
2020 (“POJK 17/2020”).
c. POJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan, tertanggal 2 Juli
2020 (“POJK 42/2020”).
Hubungan antara Pihak-Pihak yang Bertransaksi
Bahwa antara Perseroan dengan PT GMP tidak terdapat
hubungan afiliasi dan tidak terdapat benturan kepentingan
berdasarkan peraturan perundang-undangan yang berlaku
di bidang pasar modal. Oleh karena itu, pelaksanaan
transaksi ini bukan merupakan transaksi afiliasi dan bukan
merupakan transaksi yang mengandung benturan
kepentingan sebagaimana dimaksud dalam POJK 42/2020.
Nilai Transaksi
Nilai transaksi untuk periode masa kerja sama 1 (satu)
tahun adalah diperkirakan sebesar Rp130.000.000.000,-
(seratus tiga puluh miliar rupiah). Nilai transaksi tersebut
tidak mencapai 20% (dua puluh persen) atau lebih dari
ekuitas Perseroan berdasarkan Laporan Keuangan
Perseroan yang berakhir pada 30 September 2024,
sehingga Transaksi tersebut bukan merupakan Transaksi
Material sebagaimana dimaksud dalam POJK 17/2020.
4. Dampak kejadian, Informasi Dampak kejadian, Informasi atau Fakta Material yang
atau Fakta Material diungkapkan oleh Perseroan ini memiliki dampak positif
terhadap kegiatan usaha Perseroan dalam penjualan beras.
5. Keterangan lain-lain Bahwa selain informasi yang telah kami ungkapkan di atas,
saat ini tidak terdapat kejadian, Informasi, atau Fakta
Material lain yang tidak kami ungkapkan selain informasi
tersebut di atas.
Direksi Perseroan bertanggung jawab sepenuhnya atas
kebenaran dari seluruh informasi yang termuat dalam
Keterbukaan Informasi ini.

Transactions and Changes in Business Activities, dated
20 April 2020 ("POJK 17/2020").
c. POJK No. 42/POJK.04/2020 concerning Affiliate
Transactions and Conflict of Interest Transactions, dated
2 July 2020 (“POJK 42/2020”).
Relationship between Transaction Parties
That between the Company and PT GMP there is no
affiliate relationship and no conflict of interest based on
the applicable laws and regulations in the capital markets
sector. Therefore, the implementation of this transaction is
not an affiliate transaction and is not a transaction
containing a conflict of interest as intended in POJK
42/2020.
Transaction Value
The transaction value for 1 (one) year period of
cooperation is estimated at IDR130.000.000.000,- (one
hundred and thirty billion rupiah). The transaction value
does not reach 20% (twenty percent) or more of the
Company's equity based on the Company's Financial Report
ending on 30 September 2024, so the Transaction is not a
Material Transaction as referred to in POJK 17/2020.
4. Impact of events, Material The impact of events, information or material facts
Information or Facts disclosed by the Company has a positive impact on the
Company's business activities in selling rice.
5. Other information That apart from the information we have disclosed above,
currently there are no other events, information or
material facts that we have not disclosed other than the
information mentioned above.
The Company's Directors are fully responsible for the
correctness of all information contained in this Information
Disclosure.
