Negosiasi Rencana Pengambilalihan
("Pengumuman Negosiasi"), bersama ini kami
informasikan bahwa iForte, yang merupakan entitas
anak tidak langsung yang dikendalikan oleh
Perseroan, berencana untuk mengambil alih saham-
saham dalam PT Remala Abadi, Tbk ("Remala")
yang mewakili kurang lebih 4095 (empat puluh
persen) dari total modal yang disetor dan
ditempatkan dalam Remala, yang dimiliki oleh Verah
Wahyudi Singgih Wong dan Jimmi Anka (pemegang
saham mayoritas Remala) (selanjutnya secara
bersama-sama disebut sebagai "Para Penjual").
iForte dan Para Penjual telah menandatangani
Perjanjian Pengikatan Jual Beli pada tanggal 23
Desember 2024, yang akan menjadi dasar untuk
negosiasi lebih lanjut terkait dengan Rencana
Pengambilalihan (sebagaimana didefinisikan di
bawah), dimana setelah penyelesaian transaksi
tersebut, iForte akan menjadi pengendali baru
Remala (rencana pengambilalihan saham
sebagaimana dideskripsikan di atas selanjutnya
disebut sebagai "Rencana Pengambilalihan").
Sebagaimana informasi yang disampaikan oleh
iForte dalam Pengumuman Negosiasi, tujuan dari
Rencana Pengambilalihan adalah untuk
pengembangan usaha serta memperluas jaringan
usaha dalam rangka memperkuat posisi bisnis grup
iForte di bidang digital infrastruktur telekomunikasi.

(“iForte”) No. 00YEXT/IS/HT/HS/I/2025 — dated
January 20, 2025 Re: Update on Negotiation
Announcement on Proposed Acguisition
(“Negotiation Announcement"), we hereby inform
you that iForte, an indirect subsidiary that is
controlled by the Company, proposed to acguire
shares in PT Remala Abadi, Tbk ("Remala")
representing approximately 4096 (forty percent) of all
issued and paid-up capital in Remala, owned by
Verah Wahyudi Singgih Wong and Jimmi Anka
(controlling shareholders of Remala) (collectively

NX ) SARANA MENARA NUSANTARA hereinafter shall be referred to as the "Sellers"). iForte and the Sellers signed the Conditional Sale and Purchase Agreement on 23 December 2024 which will be a basis to further negotiate the Proposed Acguisition (as defined below), whereby afterthe completion of such transaction, iForte will be the new controller of Remala (proposed acguisition of shares as described above hereinafter shall be referred to as the "Proposed Acguisition"). As conveyed in the Negotiation Announcement by iForte, the purpose of Proposed Acguisition is to develop business and expand business network in order to strengthen iForte's group business position in the digital telecommunications infrastructure sector. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik / The impact of such event, information or material facts towards operational activities, legal, financial condition, or business continuity of the Issuer or Public Company Informasi atau fakta material yang diungkapkan tidak memiliki dampak negatif material terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan. The disclosed information or material facts does not have negative material impact to the operational, legal, financial condition or continuity of the Company's business. Keterangan lain-lain/ Other information Rencana Pengambilalihan akan dilaksanakan dengan memperhatikan peraturan perundangan yang berlaku termasuk Peraturan OJK No. 9/POJK.04/2018 tentang Pengambilalihan Perusahaan Terbuka. Selain dari informasi yang telah kami ungkapkan di atas, pada saat ini tidak terdapat kejadian, informasi atau fakta material lain yang dapat kami ungkapkan. The Proposed Acguisition shall be carried out with observance to prevailing laws and regulations including OJK Regulation No. 9/POJK.04/2018 on Acguisition of Public Companies.
