Uraian Informasi atau Fakta Material Permohonan PKPU ini diajukan oleh Harmas melalui
Pengadilan Niaga Jakarta Pusat dengan Nomor Perkara
2/Pdt.Sus-PKPU/2025/PN Niaga Jkt.Pst (Permohonan PKPU),
yang mengklaim bahwa Perseroan memiliki utang berdasarkan
Putusan Kasasi No. 2461 K/PDT/2024 (Putusan Pengadilan)
yang berkekuatan hukum tetap, yang mana saat ini Perseroan
telah mengajukan upaya hukum Peninjauan Kembali di
Mahkamah Agung atas Putusan Pengadilan tersebut.
Perseroan berpendapat bahwa Permohonan PKPU tidak
tepat, mengingat Permohonan PKPU yang diajukan
didasarkan pada permasalahan sengketa perdata murni yang
merupakan ranah Pengadilan Negeri Jakarta Selatan dan
ranah Hukum Acara Perdata Umum, sementara pengajuan
Permohonan PKPU diajukan melalui Pengadilan Niaga
Jakarta Pusat.
Selain itu, kedudukan Perseroan tidak tepat jika dikatakan
sebagai Debitor yang memiliki utang yang sudah jatuh waktu
dan dapat ditagih dengan dalil yang mendasarkan pada
sengketa perdata murni yang masih dalam proses Peninjauan
Kembali. Perseroan juga tidak memiliki kewajiban yang belum
terselesaikan baik kepada Harmas selaku Pemohon PKPU,
maupun kewajiban yang belum terselesaikan lainnya terhadap
kreditor lain. Sehingga, tidak tepat jika Perseroan
dikualifikasikan sebagai Debitor.
Persidangan perdana atas Permohonan PKPU yang diajukan
oleh Harmas terhadap Perseroan telah dilakukan pada tanggal
14 Januari 2025 dengan agenda pemeriksaan legal standing
dari masing-masing pihak.
Saat ini, Perseroan tengah mempersiapkan jawaban
keberatan atas Permohonan PKPU tersebut. Perseroan
optimis bahwa proses hukum ini akan berjalan secara adil dan
objektif sesuai dengan peraturan yang berlaku. Perseroan
telah menunjuk kuasa hukum untuk menangani perkara ini dan
memastikan hak-hak Perseroan dilindungi dalam proses
hukum yang sedang berlangsung. Perseroan juga tengah
mempersiapkan langkah-langkah hukum lanjutan untuk
menyelesaikan persoalan ini secara profesional.

Dampak kejadian, informasi atau fakta Permohonan PKPU ini tidak mempengaruhi operasional
material tersebut terhadap kegiatan Perseroan. Perseroan tetap menjalankan kegiatan bisnis
operasional, hukum, kondisi keuangan, seperti biasa, memberikan pelayanan terbaik kepada
atau kelangsungan usaha Emiten atau pelanggan, mitra usaha, dan pemangku kepentingan lainnya.
Perusahaan Publik
Terkait dengan kondisi keuangan perusahaan, Perseroan
menegaskan bahwa Perseroan memiliki kondisi keuangan
yang sehat, dan kemampuan untuk memenuhi kewajiban
finansialnya. Klaim dalam Permohonan PKPU ini tidak
mencerminkan kondisi keuangan Perseroan secara
keseluruhan.
Dengan demikian, tidak ada dampak material yang dirasakan
secara langsung terhadap kinerja operasional dan keuangan
Perseroan atas kasus hukum tersebut.
Perseroan juga berkomitmen untuk senantiasa menjaga
stabilitas operasional dan kepatuhan hukum dengan
memperkuat kebijakan internal serta melaksanakan evaluasi
berkala terhadap proses operasional untuk mencegah potensi
masalah hukum dan memastikan keberlanjutan operasional
perusahaan

Material legal dispute of Company, and Board of Directors and

Description of Material Information or This PKPU Petition has been filed by Harmas through the
Facts Central Jakarta Commercial Court and registered under
Number 2/Pdt.Sus-PKPU/2025/PN Niaga Jkt.Pst (PKPU
Petition), which claims that the Company has outstanding
debts based on the Cassation Decision No. 2461 K/PDT/2024
(Court Decision), which has permanent legal force. The
Company has currently filed for a Judicial Review of the Court
Decision with the Supreme Court.
The Company believes that the PKPU Petition is inappropriate,
as it is based on a purely civil dispute, which falls under the
jurisdiction of the South Jakarta District Court and general civil
procedural law. However, the PKPU Petition was submitted
through the Central Jakarta Commercial Court.
Furthermore, the Company position is not correctly
represented if it is classified as a debtor with overdue debts
that are due for collection, based on a civil dispute that is still
under Judicial Review. The Company also has no outstanding
obligations, either to Harmas as the petitioner or to any other
creditors. Therefore, it is incorrect to classify the Company as
a debtor.
The initial hearing for the PKPU Petition was held on January
14th, 2025, with the agenda focusing on the legal standing of
each party.
The Company is currently preparing a formal objection to the
PKPU Petition filed by Harmas. The Company is confident that
this legal process will proceed fairly and objectively, in
accordance with applicable regulations. The Company has
appointed legal counsel to handle this matter and ensure that
the Company rights are protected throughout the ongoing legal
proceedings. Additionally, the Company is preparing further
legal actions to resolve this issue professionally.

financial condition, or going concern and other stakeholders.
Regarding the Company financial condition, the Company
affirms that it maintains a healthy financial position and has the
ability to meet its financial obligations. The claims made in the
PKPU Petition filed by Harmas do not reflect the Company
overall financial situation.
As such, there has been no material direct impact on the
Company operations or finances as a result of this legal case.
The Company is also committed to maintaining operational
stability and legal compliance by strengthening internal policies
and conducting regular evaluations of operational processes to
prevent potential legal issues and ensure the continuity of the
Company operations.
