Uraian Informasi atau Fakta Material Perjanjian Pinjam Meminjam antara Perseroan dengan Medco
Bell Pte. Ltd. (MBL), anak perusahaan yang seluruh sahamnya
dimiliki secara tidak langsung oleh Perseroan.
Terkait Perjanjian Pinjam Meminjam antara Perseroan dengan
MBL tanggal 13 Januari 2025 dengan nilai maksimum sebesar
AS$435.283.000 (empat ratus tiga puluh lima juta dua ratus
delapan puluh tiga ribu Dolar Amerika Serikat) tanpa
dikenakan bunga atas pinjaman, dimana Perseroan bertindak
sebagai Pemberi Pinjaman dan MBL sebagai Peminjam dan
perjanjian berlaku hingga pinjaman dilunasi secara penuh
sesuai permintaan Perseroan. Adapun pinjaman ini akan
digunakan oleh MBL untuk melakukan tender, pembiayaan
kembali, dan/atau pembayaran utang MBL
Dampak kejadian, informasi atau fakta Transaksi ini menambah piutang Perseroan namun tidak
material tersebut terhadap kegiatan memiliki dampak terhadap kondisi keuangan Perseroan
operasional, hukum, kondisi keuangan, dikarenakan MBL merupakan Perusahaan anak yang dimiliki
atau kelangsungan usaha Emiten atau seluruhnya oleh Perseroan sehingga tidak tercermin secara
Perusahaan Publik terpisah di dalam laporan keuangan konsolidasian. Lebih
lanjut, tidak ada dampak kejadian, informasi atau fakta
material tersebut terhadap kegiatan operasional, hukum, atau
kelangsungan usaha Perseroan.
Informasi Lain
Transaksi ini merupakan transaksi afiliasi sebagaimana dimaksud dalam POJK 42/2020 yang hanya wajib dilaporkan
kepada OJK karena dilakukan oleh Perseroan dan MBL yang dimiliki secara tidak langsung sebesar 100% oleh
Perseroan. Oleh karenanya Laporan ini juga merupakan pemenuhan atas pelaporan atas Transaksi Afiliasi
sebagaimana dimaksud dalam Pasal 6 ayat 2 POJK 42/2020.

Intercompany Loan Agreement between the Company and
Type of Material Information or Facts Medco Bell Pte. Ltd.
Description of Material Information or Intercompany Loan Agreement between the Company and
Facts Medco Bell Pte. Ltd. (MBL), a subsidiary whose entire shares
are indirectly owned by the Company.
In relation to the Intercompany Loan Agreement between the
Company and MBL dated 13 January 2025 to an aggregate
principal sum of up to US$435,283,000 (four hundred thirty five
million two hundred eighty three thousand United States
Dollar) with no interest shall accrue for the loan, that the
Company acts as a Lender and MBL as the Borrower and the
agreement is valid until it is fully repaid on demand by the
Company. The loan will be used for MBL to tender, refinance
and/or repay existing indebtedness of MBL.
Impact of event, material information or This transaction increases the Companys receivables, which
facts towards Issuers or Public has no impact on the financial condition of the Company as
Company’s operational activities, legal, MBL is the Companys wholly-owned subsidiary, therefore it is
financial condition, or going concern not reflected separately in the consolidated financial
statements. Furthermore, there is no impact of such material
information or fact to the Companys operational, law, or
business.
Other Information
This transaction constitutes an affiliated transaction as defined in the POJK 42/2020, which is only required to be
reported to the OJK because it is conducted by the Company and MBL, which shares owned 100% by the
Company. Therefore, this report also fulfills the reporting requirement for Affiliated Transactions as referred to in
Article 6 paragraph 2 of POJK 42/2020
