Uraian Informasi atau Fakta Material Telah ditandatangani Perubahan Kesepuluh Perjanjian Kredit
oleh dan antara: SAI dan BCA.
SAI telah menerima tambahan fasilitas Kredit Investasi dengan
jumlah pokok tidak melebihi Rp1.415.000.000.000,00 (satu
triliun empat ratus lima belas miliar rupiah) (Fasilitas Kredit),
dengan tranches sebagai berikut :
Trance A:
Plafon Rp1.200.000.000.000,- (satu triliun dua ratus miliar
Rupiah)
Trance B:
Plafon Rp215.000.000.000,- (dua ratus lima belas miliar
Rupiah)
Jangka waktu fasilitas pinjaman adalah maksimal 10 (sepuluh)
tahun sejak tanggal penandatanganan.
Tujuan Pinjaman/Penggunaan :
Trance A:
Untuk pembiayaan capex (hard cost only) atas renovasi Melia
Bali Hotels & Resorts
Trance B:
untuk pembiayaan perpanjangan hak untuk pemanfaatan dan
pengelolaan lahan (land utilization) PT Pengembang
Pariwisata Indonesia / Injourney Tourism Development
Corporation (ITDC) untuk Melia Bali Hotels and Resorts dan
untuk pembayaran sewa di muka ke ITDC untuk menjaminkan
Tanah/Bangunan Melia Bali and Resorts.

Dampak kejadian, informasi atau fakta Kegiatan Operasional:
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan, Menunjang kinerja operasional SAI dan Perseroan, terutama
atau kelangsungan usaha Emiten atau setelah selesainya Renovasi Melia Bali Hotel & resort di tahun
Perusahaan Publik 2026. Untuk tahun 2025, tidak ada pendapatan usaha dari
Melia Bali Hotel & Resort sehubungan dengan adanya
Renovasi tersebut.
Hukum:
Tidak ada dampak material dibidang hukum
Kondisi Keuangan :
Fasilitas pinjaman yang diperoleh terutama akan digunakan
untuk Renovasi Melia Bali dan Perpanjangan Hak
Pemanfaatan dan Pengelolaan Lahan; sehingga Aset dan
Liabilitas SAI dan Perseroan (konsolidasi) akan bertambah.
Selanjutnya setelah selesai Renovasi Melia Bali, pendapatan
usaha SAI dan Perseroan (konsolidasi) akan bertambah dan
juga ada nya tambahan biaya bunga yang berasal dari fasiltas
pinjaman tersebut serta tambahan depresiasi penyusutan
atas Renovasi tersebut.
Kelangsungan Usaha:
Mendukung kelangsungan usaha SAI dan Perseroan
(konsolidasi)

Agreement with PT Bank Central Asia Tbk (BCA).

Description of Material Information or The Tenth Amendment to the Credit Agreement has been duly
Facts executed between SAI and BCA
SAI has obtained an additional Investment Credit Facility with
a maximum principal amount of IDR 1,415,000,000,000 (one
trillion four hundred fifteen billion rupiah) (the Credit Facility),
allocated into the following tranches:
- Tranche A:
A ceiling of IDR 1,200,000,000,000 (one trillion two hundred
billion rupiah)
- Tranche B:
A ceiling of IDR 215,000,000,000 (two hundred fifteen billion
rupiah)
The loan facility is provided for a maximum term of 10 (ten)
years from the date of execution.
Purpose of the Loan/Utilization:
- Tranche A:
To finance capital expenditure (hard costs only) related to the
renovation of Melia Bali Hotels and Resorts.
- Tranche B:
To finance the extension of land utilization and management
rights with PT Pengembang Pariwisata Indonesia / Indonesia
Tourism Development Corporation (ITDC) for Melia Bali Hotels
and Resorts and to fund upfront rental payments to ITDC,
securing the land and buildings of Melia Bali Hotels and
Resorts as collateral.

Impact of event, material information or Operational Activities:

Company’s operational activities, legal, The operational performance of SAI and the Company is
financial condition, or going concern expected to improve, particularly following the completion of
the renovation of the Melia Bali Hotel and Resort in 2026. For
the year 2025, no operating revenue will be generated from
the Melia Bali Hotel and Resort due to the ongoing renovation.
Legal Impact:
There are no material legal impacts arising from this matter.
Financial Conditions:
The loan facility obtained will primarily be utilized for the
renovation of the Melia Bali Hotel and the extension of land
utilization and management rights. Consequently, the assets
and liabilities of both SAI and the Company (on a consolidated
basis) will increase.
Following the completion of the renovation, the operating
revenues of SAI and the Company (on a consolidated basis)
are expected to grow. However, there will also be an increase
in interest expenses resulting from the loan facility and
additional depreciation charges from the renovation.
Business Continuity:
This initiative will support the sustainability of SAIs and the
Companys business operations (on a consolidated basis).
