Uraian Informasi atau Fakta Material Berdasarkan Keputusan Sirkuler Pemegang Saham sebagai
Pengganti Rapat Umum Pemegang Saham Luar Biasa PT
PPG tanggal 2 Januari 2025, Pemegang Saham PT PPG telah
memutuskan hal-hal di antaranya sebagai berikut:
(a) Menyetujui pengunduran diri anggota Direksi sebagai
berikut:
- Rogelio Paulino Jr. Castillo La O sebagai Presiden
Direktur Perseroan;
terhitung sejak tanggal 2 Januari 2025, dan memberikan
pelepasan dan pembebasan penuh (acquit-et-de-charge)
kepada anggota Direksi PT PPG tersebut di atas dari
tanggung jawabnya sebagai Presiden Direktur PT PPG, dan
untuk segala tindakan yang telah diungkapkan secara wajar
dan benar dalam buku-buku dan catatan-catatan PT PPG
serta akun yang telah diaudit selama masa jabatannya.
(b) Menyetujui pengangkatan anggota Direksi PT PPG
yang baru, yakni:
- Ery Yunasri, S.H., LLM, sebagai Direktur Utama
Perseroan;
- Rogelio Paulino Jr. Castillo La O, sebagai Direktur
Perseroan;
terhitung efektif sejak 2 Januari 2025 untuk menjalani masa
jabatan 5 (lima) tahun dengan tidak mengurangi hak Rapat
Umum Pemegang Saham untuk memberhentikannya sewaktu-
waktu

Dampak kejadian, informasi atau fakta Tidak terdapat dampak atas perubahan anggota Direksi
material tersebut terhadap kegiatan tersebut terhadap kegiatan operasional, hukum, kondisi
operasional, hukum, kondisi keuangan, keuangan, atau kelangsungan usaha pada Perseroan maupun
atau kelangsungan usaha Emiten atau PT PPG.

Changes to the Members of the Board of Directors of PT Parit
Type of Material Information or Facts Padang Global (a Controlled Entity of PT Soho Global Health
Tbk) (PT PPG)
Description of Material Information or Based on the Circular Resolutions of the Shareholders in Lieu
Facts of the Extraordinary General Meeting of Shareholders of PT
PPG dated January 2, 2025, the Shareholders of PT PPG
have resolved, among others, the following matters:
(a) Approve the resignation of the member of Board of
Directors as follows:
- Rogelio Paulino Jr. Castillo La O as the President
Director of the Company;
effective as of January 2, 2025, and granting the release and
full discharge (acquit-et-de-charge) to the aforementioned
member of the Board of Directors from his respective
responsibilities as President Director of PT PPG, for all actions
that have been reasonably and properly disclosed in the PT
PPGs books and records, and the accounts audited during his
term of office.
(b) Approve the appointment of new members of the
Board of Directors of PT PPG, namely:
- Ery Yunasri, S.H., LLM, as the President Director of
the Company;
- Rogelio Paulino Jr. Castillo La O, as the Director of
the Company;
effective as of January 2, 2025, for a term of 5 (five) years
without prejudice to the rights of the General Meeting of
Shareholders to dismiss any of them at any time.
Impact of event, material information or There is no impact from the changes to the members of the
facts towards Issuers or Public Board of Directors on the operational activities, legal standing,
Company’s operational activities, legal, financial condition, or business continuity of the Company or
financial condition, or going concern PT PPG.
