huruf b.1 POJK No. 42/2020, Transaksi ini
merupakan transaksi afiliasi yang dikecualikan
dari kewajiban untuk terlebih dahulu
memperoleh penilaian independen dan
mengumumkan keterbukaan — informasi
sebelum transaksi afiliasi dapat dilakukan.

Transaction as referred to in POJK No. 42/2020
but is nota Transaction containing a Conflict of
Interest as intended by POJK No. 42/2020.

The Transaction was carried out by and
between the Company and SMA, whose shares
are 999991 owned by the Company and
therefore, with reference to the provisions of
Article 6 paragraph (1) letter b.1 POJK No.
42/2020, this Transaction is an affiliated
transaction which is exempt from the obligation
to obtain a fairness opinion and announce
information disclosure before the affiliated
transaction can be carried out.
