Uraian Informasi atau Fakta Material | Description of Information or Material Facts Perseroan - telah menandatangani Perjanjian Sewa dengan PT Dinamikajaya Bumipersada. Objek Perjanjian Sewa adalah bangunan gudang seluas 1.800 m2 dengan nilai sewa Rp.33.000,- /m2/bulan atau Rp.178.200.000/3 bulan dan belum termasuk PPN. Periode Perjanjian Sewa adalah 3 bulan (O1 Januari — 31 Maret 2025), yang dapat otomotis diperpanjang untuk periode 3 bulan berikutnya secara terus menerus kecuali ada perubahan atau pemberitahuan dari salah satu pihak. Pelaksanaan Perjanjian Sewa tersebut dilakukan dengan mempertimbangkan bahwa lokasi bangunan berdekatan dengan fasilitas gudang Perseroan saat ini dan sesuai dengan rencana pengembangan/perluasan fasilitas operasional Perseroan. Transaksi sewa yang disampaikan dalam Keterbukaan Informasi ini merupakan Transaksi Afiliasi yang hanya wajib dilaporkan kepada Otoritas Jasa Keuangan (“OJK”) sebagaimana dimaksud dalam POJK No.42/POJK.04/2020 tentang Transaksi Afiliasi dan Benturan Kepentingan tanggal 1 Juli 2020 di pasal 6 angka 1 butir cc. Sifat hubungan afiliasi: Perseroan dan PT Dinamikajaya Bumipersada memiliki hubungan Afiliasi yaitu, pemegang saham utama dan/atau pengendali PT Dinamikajaya Bumipersada juga merupakan salah satu pemegang saham PT Adrindo IntiPerkasa dimana PT Adrindo IntiPerkasa adalah Pemegang Saham Pengendali Perseroan. Sumber dana transaksi: Transaksi akan dibiayai dari sumber dana internal PT Selamat Sempurna Tbk. Perjanjian Sewa Menyewa bangunan gudang (selanjutnya disebut Perjanjian Sewa) | Lease Agreement of warehouse (herein after referred as Lease Agreement). The Company - has signed a Lease Agreement with PT Dinamikajaya Bumipersada. The object of Lease Agreement is warehouse with area of 1,800 sgm with a lease value of Rp.33,000.- /sam/month or Rp.178,200,000/3 months and excluding VAT. The Lease Agreement Period is 3 months (January 018 — March 31", 2025), which can be automatically extended for the next 3 months continuously unless there is a change or notification from either party. The Lease Agreement was carried out by considering that the location of the building is adjancent of the the current warehouse facility of the Company and aligns with plans for the development/expansion of the Company operational facilities. The lease transaction described in this Disclosure of Information are Affiliated Tranactions which is must only be reported to the Financial Services Authority (“OJK”) as referred to OJK Regulation POJK No.42/POJK.04/2020 on Affiliated Transactions and Conflict of Interest Transactions dated July 1, 2020 in article 6 point 1c. The nature of affiliate relationship: The Company and PT Dinamikajaya Bumipersada have an Affiliated relationships i.e,: the ultimate and/or controlling shareholder of PT Dinamikaya Bumipersada is also one of the shareholders of PT Adrindo IntiPerkasa, in which PT Adrindo IntiPerkasa is the Controlling Shareholder of the Company. Fund source of transaction: The transaction will be financed from PT Selamat Sempurna's internal cashflow.
