Penandatanganan Surat Perubahan atas Perjanjian
Fasilitas Rp2.500.000.000.000 (atau setara dalam mata
uang USD atau Yen) tertanggal 23 Desember 2024
antara Protelindo, Iforte, SUPR, dan IBST sebagai para
peminjam dengan MUFG sebagai pemberi pinjaman
(“Perjanjian Fasilitas”). / The Signing of Amendment
Letter of the IDR2.500.000.000.000 (or eguivalent to the
USD or JPY) Facility Agreement dated December 23,
2024, made between Protelindo, Iforte, SUPR and IBST
as the borrowers, with MUFG as the lender ("Facility
Agreement).

Para pihak sepakat untuk memperpanjang jangka waktu
pinjaman sampai dengan 31 Desember 2025./ All the
parties have agreed to extend its maturity date up to
December 31, 2025.

Penandatanganan Perjanjian Fasilitas tersebut tidak
memiliki dampak negatif yang material yang merugikan
terhadap kegiatan operasional, hukum, kondisi
keuangan, atau kelangsungan usaha Perseroan. / The
signing of the Facility Agreement does not have negative
material impact to the operational, legal, financial
condition or continuity of the Company's business.

Perjanjian Fasilitas tersebut merupakan transaksi afiliasi
merujuk pada/ The Transaction as abovementioned is an
affiliated transaction as referred to:
(i) Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK No.
42 Tahun 2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan (“POJK 42”), yaitu
transaksi sesama Perusahaan Terkendali yang
sahamnya dimiliki paling sedikit 995 (sembilan
puluh sembilan persen) oleh Perusahaan Terbuka,
dan / Clause 6 section (1) letter b point (2) of OJK
Regulation No. 42 of 2022 regarding the Affiliated
Transaction and Conflict of Interest Transaction
("OJK Rule 42”), ie. a transaction between the
subsidiaries whose at least 994 of their shares are
owned by the Public Company, and
(ii) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu transaksi
pinjaman yang diterima secara langsung dari bank.
