3. Uraian Informasi/ Information Pada tanggal 22 Oktober 2024, (PT ABM
Description Investama Tbk (Perseroan), PT Radhika Jananta
Raya (RJR) yang merupakan perusahaan
terkendali tidak langsung Perseroan, dan Para
Penanggung telah menandatangani Perjanjian
Kredit USD395.000.000 Fasilitas Berjangka,
dimana Perseroan dan RJR menerima fasilitas
pembiayaan dari PT Bank Mandiri (Persero) Tbk
sampai dengan sejumlah USD395.000.000 (Nilai
Fasilitas Pembiayaan). Pada tanggal 16 Desember
2024, RJR telah melakukan penarikan seluruh
Fasilitas Pembiayaan. Nilai Fasilitas Pembiayaan
memiliki nilai 50,16% (lima puluh koma satu enam
persen) ekuitas Perseroan berdasarkan Laporan
Keuangan Perseroan./
On 22 October 2024, PT ABM Investama Tbk (the
Company), PT Radhika Jananta Raya (RJR) which
is an indirect controlled company of the Company,
and the Guarantor entered into Term Facility Credit
Agreement USD395.000.000 whereby the
Company and RJR received financing facility from
PT Bank Mandiri (Persero) Tbk. with maximum
amount of USD395.000.000 (Amount of Financing
Facility). On 16 December 2024, RJR have fully
draw down the Financing Facility. The amount of
the Financing Facility equal to the 50,16%(fifty
point one six percent) of Company Equity based
on the Company s Financial Report.
4. Dampak kejadian, informasi atau fakta Atas Fasilitas Pembiayaan, telah dilakukan hal-hal
material tersebut terhadap kegiatan dengan rincian sebagaimana disebutkan dalam
operasional, hukum, kondisi keuangan, dokumen terlampir./ Upon the Financing Facility,
atau kelangsungan usaha Emiten atau the actions taken as detailed within the attached
Perusahaan Publik. / document.

5. Keterangan lain-lain. / Dikarenakan Fasilitas Pembiayaan diperoleh dari
Other information Para Kreditur, maka berdasarkan Pasal 11 huruf b
POJK 17/2020 transaksi tersebut dikecualikan
untuk menggunakan penilai untuk menentukan
nilai wajar dari objek transaksi material dan/atau
kewajaran transaksi dan memperoleh persetujuan
RUPS. Lebih lanjut, berdasarkan POJK 17/2020,
Perseroan hanya diwajibkan untuk mengumumkan
keterbukaan informasi kepada masyarakat paling
lambat 2 (dua) hari kerja setelah terjadinya
transaksi./ Due to the Financing Facility obtained
from the Creditors, based on the Article 11 letter b
POJK 17/2020 the transaction exempt from
obligation to exercise an appraiser to determine
the fair value of the material transaction object
and/or the fairness of the transaction as well as
GMS. Furthermore the Company only required to
announce the information disclosure to the public
