Nature of Relationship Between the Parties
Antara Perseroan dan TPM bukan merupakan pihak yang
memiliki hubungan Afiliasi sebagaimana dimaksud dalam
ketentuan Pasal 1 angka 1 Undang-Undang Nomor 8 Tahun
1995 tentang Pasar Modal serta Pasal 1 angka 1 Peraturan
Otoritas Jasa Keuangan Nomor 42/POJK.04/2020 tentang
Transaksi Afiliasi dan Transaksi Benturan Kepentingan.

Para Pihak akan menandatangani Perjanjian guna
mendokumentasikan ketentuan dan persyaratan yang
mengatur hak dan kewajiban sebagai pemegang saham dalam
anak perusahaan Perseroan yang bernama PT Trans Bahtera
Pioneer yang akan menjadi perusahaan patungan.
Berdasarkan Perjanjian, kepemilikan Perseroan dan TPM di
dalam PT Trans Bahtera Pioneer adalah 50:50. Dalam hal ini,
Perseroan melakukan penyertaan modal ke dalam PT Trans
Bahtera Pioneer senilai Rp.25.750.000.000,- (dua puluh lima
miliar tujuh ratus lima puluh juta Rupiah) untuk mengambil
bagian sebanyak 25.750 (dua puluh lima ribu tujuh ratus lima
puluh) saham atau menguasai 50% (lima puluh persen) dari
total modal ditempatkan dan disetor dalam PT Trans Bahtera
Pioneer. Demikian pula halnya dengan TPM mengambil
bagian sebanyak 25.750 (dua puluh lima ribu tujuh ratus lima
puluh) saham atau menguasai 50% (lima puluh persen) dari
total modal ditempatkan dan disetor dalam PT Trans Bahtera
Pioneer. Dengan demikian, total modal ditempatkan dan
disetor dalam PT Trans Bahtera Pioneer adalah sebesar Rp.
51.500.000.000,- (lima puluh satu miliar lima ratus juta
Rupiah) yang terbagi atas 51.500 (lima puluh satu ribu
lima ratus) saham, dimana masing - masing saham bernilai
nominal Rp.1.000.000,- (satu juta Rupiah).
Dengan skema kepemilikan 50:50 antara Perseroan dan TPM,
maka pengendalian atas PT Trans Bahtera Pioneer akan
dilakukan secara bersama, yaitu 2 (dua) orang Direktur yang
terdiri atas 1 (satu) orang Direktur yang dinominasikan oleh
Perseroan dan 1 (satu) orang Direktur yang dinominasikan
oleh TPM secara bersama-sama berwenang bertindak untuk
dan atas nama Direksi serta mewakili PT Trans Bahtera
Pioneer.
Adapun ketentuan-ketentuan berdasarkan Perjanjian tersebut
akan dinyatakan dalam suatu akta perubaham anggaran dasar
untuk mendapatkan persetujuan dari Menteri Hukum dan Hak
Asasi Manusia Republik Indonesia.

PT Trans Bahtera Pioneer sebagai perusahaan patungan
berencana melakukan investasi sebesar kurang lebih Rp. 200
miliar untuk pembelian 6 (enam) set kapal tunda dan tongkang
baru ataupun bekas untuk tahun pertama. Diharapkan, PT
Trans Bahtera Pioneer berkembang hingga memiliki 20 (dua
puluh) set di tahun-tahun mendatang.
e. Tujuan Transaksi
Transaction Purpose
Kerjasama patungan ini memiliki tujuan strategis. Bagi
Perseroan, kemitraan ini memberikan akses langsung ke
layanan logistik yang akan mengurangi ketergantungan pada
penyedia jasa eksternal, serta mengoptimalkan efisiensi biaya
transportasi, yang akan mendukung kelancaran rantai
pasokan batu bara mereka. Sementara bagi TPM, kemitraan
ini memberikan kepastian pasokan batu bara yang stabil dari
anak perusahaan Perseroan, serta membuka peluang untuk
optimalisasi asset. Dengan keahlian kedua belah pihak, sinergi
ini diharapkan dapat menciptakan nilai tambah jangka
panjang, meningkatkan profitabilitas, dan memperkuat posisi
kompetitif kedua perusahaan dalam industri logistik batu bara.
f. Sumber Dana yang Digunakan
Source of Funding
Sumber pendanaan untuk nilai transaksi akan disepakati dan
diatur dalam Perjanjian.
Dampak kejadian, informasi atau fakta Usaha patungan ini tentunya akan mendukung kelancaran
material tersebut terhadap kegiatan kegiatan operasional Perseroan dan menjaga kelangsungan
operasional, hukum, kondisi keuangan, usaha Perseroan dalam jangka panjang berkat adanya
atau kelangsungan usaha Emiten atau kepastian ketersedian tongkang. Lebih lanjut, penyertaan
Perusahaan Publik modal Perseroan ke dalam usaha patungan ini tidak
berdampak material terhadap keuangan Perseroan, bahkan
usaha patungan ini membuka revenue stream baru sehingga
kedepannya mampu memberikan potensi tambahan
pendapatan dan laba kepada Perseroan sebagai pemilik
langsung dan/atau tidak langsung dari perusahaan patungan
dan juga diversifikasi pengangkutan barang curah.
Informasi Lain
Transaksi di atas tidak bernilai material dan bukan merupakan transaksi afiliasi serta tidak mengandung benturan
kepentingan. Bahwa apabila terdapat tambahan atau perubahan informasi atau fakta material lainnya di kemudian hari,
maka akan kami sampaikan dalam keterbukaan informasi selanjutnya.

Description of Material Information or Between the Company and TPM, are not Affiliated parties as
Facts governed in the Article 1 point 1 Law Number 8 Year 1995
regarding Capital Market and OJK Regulation Number
42/POJK.04/2020 regarding Affiliated Transactions and
Conflict of Interest Transactions.
Based on the Agreement, the ownership of the Company and
TPM in PT Trans Bahtera Pioneer is 50:50. In this case, the
Company makes a capital investment into PT Trans Bahtera
Pioneer worth Rp.25,750,000,000,- (twenty five billion seven
hundred fifty million Rupiah
to take part in as many as 25,750 (twenty five thousand seven
hundred fifty) shares or control 50% (fifty percent) of the total
issued and paid-up capital in PT Trans Bahtera Pioneer.
Likewise, TPM takes part in as many as 25,750 (twenty-five
thousand seven hundred fifty) shares or controls 50% (fifty
percent) of the total issued and paid-up capital in PT Trans
Bahtera Pioneer. Thus, the total capital placed and paid up in
PT Trans Bahtera Pioneer is Rp.51,500,000,000,- (fifty one
billion five hundred million Rupiah) which is divided into 51,500
(fifty one thousand five hundred) shares, where each share
has a nominal value of Rp. 1,000,000,- (one million Rupiah).
With a 50:50 ownership scheme between the Company and
TPM, the control over PT Trans Bahtera Pioneer will be
conducted jointly, namely 2 (two) Directors consisting of 1
(one) Director nominated by the Company and 1 (one) Director
nominated by TPM, who are jointly authorized to act for and on
behalf of the Board of Directors and represent PT Trans
Bahtera Pioneer.
The provisions under the Agreement will be stated in a deed of
amendment to the articles of association in order to obtain
approval from the Minister of Law and Human Rights of the
Republic of Indonesia
PT Trans Bahtera Pioneer as a joint venture plan to invest
approximately Rp. 200 billion to purchase 6 (six) sets of new or
used tugboats and barges for the first year. It is hoped that PT
Trans Bahtera Pioneer will grow to have 20 (twenty) sets in the
coming years.
This joint venture has strategic objectives. For the Company,
this partnership provides direct access to logistics services that
will reduce dependence on external service providers, as well
as optimize transportation cost efficiency, which will support
the smoothness of their coal supply chain. Meanwhile, for
TPM, this partnership provides certainty of stable coal supply
from the Company's subsidiaries, as well as opening up
opportunities for asset optimization. With the expertise of both
parties, this synergy is expected to create long-term added
value, increase profitability, and strengthen the competitive
position of both companies in the coal logistics industry.
Source of funding of transaction value will be agreed and
regulated in Agreement
Impact of event, material information or This joint venture will certainly support the operation of the
facts towards Issuers or Public Company's activities and ensure the long-term sustainability of
Company’s operational activities, legal, the Company's business due to the certainty of barge
financial condition, or going concern availability. Furthermore, the Company's capital injection into
this joint venture does not materially impact the Company's
finances; in fact, this joint venture opens a new revenue
stream, thereby in the future providing additional potential
income and profit to the Company as the direct and/or indirect
owner of the joint venture and also diversifying bulk cargo
transportation
