Subsidiary Loan from PT Bank Maybank Indonesia Tbk (Maybank) by PT Superkrane
MItra Utama Tbk. (SKRN or Company or Issuer)
Dear Sir or Madam,
With this letter, we would like to disclose information on material transactions in accordance with POJK 17
– 2020, specifically article 3 paragraph 1 and article 6 paragraph 1b which regulates companies that carry
out material transactions with a transaction value of more than 20% of the Issuer's equity as follows:
a) Guarantee for GUF Credit Facility in the form of Credit Lines with a ceiling of 45,000,000 USD and
10,000,000,000 IDR from Maybank which was converted at the BI selling rate as of 16 December 2024 at
16,066.93 was IDR 723,011,850,000 in total or the equivalent of 74 .12% of Company equity based on the
Company's Financial Report for the period ending 30 September 2024 which was audited by KAP. This
loan is in the form of a ceiling only and is used to support GUF's daily operational needs as an EPCI
company. This credit facility is provided for a period of one year from the signing of the contract on
December 16, 2024. Loans or use of this credit facility will be used in stages as needed.
b) The consideration for this transaction is to support the performance of the GUF subsidiary which requires
funding for EPCI work which also has an impact on the revenue and profits of the issuer as the parent of its
subsidiary.
This transaction has no impact on the Company's financial condition because the Company only acts as a
Corporate Guarantee for GUF.
c) Loan guarantees from banks do not require appraisal services in accordance with POJK 17 – 2020
article 11c, so the Company does not use appraiser services for this material transaction.
d) Information regarding the parties to the loan transaction and details regarding the loan are as follows:

Loan Guarantor: PT Superkrane Mitra Utama Tbk (SKRN)
Lender: PT Bank Maybank Indonesia Tbk (Maybank)
Credit Facility (Ceiling): PRK total USD 45,000,000 and IDR 10,000,000,000
Credit Facility Term: starting December 16, 2024 for one year
Credit Facility Repayment Period: Monthly payment of interest payments from PRK
Credit Facility Interest: 6.75% for USD and 8% for IDR per annum
Collateral: Assets from GUF in the form of Yards in Cilegon
Prohibitions on borrowers: None

the information above is not misleading

g) the board of directors declares that this Material Transaction does not contain a Conflict of Interest as
referred to in POJK 42 – 2020 concerning Affiliate Transactions and Conflicts of Interest.
