GAMBARAN UMUM PERSEROAN
COMPANY OVERVIEW
PT MERATUS JASA PRIMA Tbk (d/h PT ICTSI JASA PRIMA Tbk.)
(selanjutnya disebut “Perseroan”) didirikan di Jakarta berdasarkan akta
Notaris Soetanto, SH No. 11 tanggal 18 Februari 1978, dan telah
mendapat pengesahan dari Menteri Kehakiman dalam Surat Keputusan
No. YA5/36/17 tanggal 18 Februari 1981 serta telah diumumkan dalam
Berita Negara No. 78 Tambahan No. 3668 tanggal 28 September 1990.
(hereinafter referred to as the "Company") was established in Jakarta
based on Notarial deed No. 11 of Soetanto, SH dated February 18, 1978,
and has been approved by the Minister of Justice in Decree No. YA5/36/17
dated February 18, 1981 and has been announced in the State Gazette No.
78 Supplement No. 3668 dated September 28, 1990.

PT SARANAKELOLA INVESTA dan ICTSI FAR EAST LTD
telah menandatangani dokumen perjanjian jual beli antara Perseroan
sebagai pembeli dan dengan ICTSI sebagai penjual.
PT SARANAKELOLA INVESTA and ICTSI FAR EAST LTD
has signed a sale and purchase agreement document between the
Company as the buyer and ICTSI as the seller.

ACQUISITION OF CONTROLLING SHARES
Perseroan selaku pembeli telah menyelesaikan transaksi Pengambilalihan dengan ICTSI sehubungan
dengan Pengambilalihan Perusahaan Sasaran atas pembelian 470.830.500 (empat ratus tujuh puluh
juta delapan ratus tiga puluh ribu lima ratus) Saham yang mewakili 80,19% (delapan puluh koma satu
sembilan) dari seluruh Saham yang disetor dan ditempatkan di PT ICTSI JASA PRIMA TBK (sekarang PT
MERATUS JASA PRIMA TBK).
The Company as the buyer has completed the Acquisition transaction with ICTSI in connection with the
Acquisition of the Target Company for the purchase of 470,830,500 (four hundred seventy million eight
hundred thirty thousand five hundred) Shares representing 80.19% (eighty point one nine) of all paid-up
and issued Shares in PT ICTSI JASA PRIMA TBK (now PT MERATUS JASA PRIMA TBK).
