                                            2. Berdasarkan nilai perolehan tersebut diatas, transaksi
                                            tersebut bukan merupakan Transaksi Material, sebagaimana
                                            didefinisikan di dalam Peraturan Otoritas Jasa Keuangan No.
                                            17/POJK.04/2020 tentang Transaksi Material dan Perubahan
                                            Kegiatan Usaha (POJK 42), karena nilai transaksi tidak lebih
                                            dari 20% nilai Ekuitas Perseroan (berdasarkan nilai yang
                                            tercantum dalam Laporan Keuangan Teraudit Perseroan untuk
                                            tahun buku 2023);
                                            3.        Tidak ada dampak langsung terhadap kegiatan
                                            operasional, hukum, kondisi keuangan, ataupun kelangsungan
                                            usaha Perseroan. Penjualan Kapal bertujuan untuk
                                            mengoptimalkan pengelompokan segmen usaha di bidang
                                            pengangkutan minyak sehingga pengelolaan aset lebih
                                            terfokus.

 Description of Material Information or       1. Type of asset is 1 (one) unit Oil Tanker vessel;
 Facts                                        2. The sales value of 1 (one) unit of the Vessel is
                                              USD2,970,500 (Two Million Nine Hundred Seventy Thousand
                                              Five Hundred United States Dollars);
                                              3. The buyer of the Vessel is MATRANS, a company
                                              established under the laws of the Republic of Indonesia and
                                              domiciled in Jakarta, an affiliate of the Company;
                                              4.The seller of the Vessel is MATRANS, is a subsidiary of the
                                              Company and a controlled company of the Company with
                                              direct ownership of 99.9% (ninety nine point nine percent) of
                                              shares;

 Impact of event, material information or     1. The Transaction is categorized as an Affiliated Transaction
 facts towards Issuers or Public              as defined in the Financial Services Authority Regulation No.
 Company’s operational activities, legal,     42/POJK.04/2020 concerning Affiliated Transactions and
 financial condition, or going concern        Conflicts of Interest (POJK 42), because it is carried out
                                              between two companies, which is based on the provisions of
                                              Article 1 number 1 letter c of Law no. 8 of 1995 concerning the
                                              Capital Market (UUPM);
                                              2. Based on the acquisition value above, the transaction is not
                                              a Material Transaction, as defined in the Financial Services
                                              Authority Regulation No. 17/POJK.04/2020 concerning
                                              Material Transactions and Changes in Business Activities
                                              (POJK 42) because the transaction value is not more than
                                              20% of the Company's Equity value (based on the value stated
                                              in the Company's Audited Financial Statements for the 2023
                                              financial year);
                                              3. There is no direct impact on the Company's operations,
                                              legal activities, financial condition or business continuity. The
                                              sale of Vessel aims to optimize the grouping of business
                                              segments in the oil transportation sector so that asset
                                              management is more focused.
