COMPANY OVERVIEW
PT MERATUS JASA PRIMA Tbk
(selanjutnya disebut “Perseroan”) didirikan di Jakarta berdasarkan
akta Notaris Soetanto, SH No. 11 tanggal 18 Februari 1978, dan
telah mendapat pengesahan dari Menteri Kehakiman dalam Surat
Keputusan No. YA5/36/17 tanggal 18 Februari 1981 serta telah
diumumkan dalam Berita Negara No. 78 Tambahan No. 3668
tanggal 28 September 1990.
(hereinafter referred to as the ‘Company’) was established in
Jakarta based on Notarial deed No. 11 of Soetanto, SH dated
February 18, 1978, and was approved by the Minister of Justice in
his Decree No. YA5/36/17 dated 18 February 1981 and announced
in the State Gazette No. 78 Supplement No. 3668 dated September
28, 1990.

Hal ini diungkap oleh Bursa Efek Indonesia melalui pengumuman Unusual Market Activity (UMA) dengan surat No. Peng-UMA- 00031/BEI.WAS/02-2024 tanggal 7 Februari 2024 serta selanjutnya penghentian aktivitas perdagangan saham Perseroan dengan surat No. Surat Peng-SPT-00017/BEI.WAS/02-2024 pada tanggal 19 Februari 2024 dengan angka tertinggi di Rp134 dan Surat No. Peng-SPT-00019/BEI.WAS/02-2024 pada tanggal 22 Februari 2024 dengan angka tertinggi di Rp161. Penghentian aktivitas perdagangan saham tersebut lebih dari 1 hari yang menjadi salah satu kriteria yang menyebabkan perdagangan saham Perseroan masuk ke dalam Papan Pemantauan Khusus selain memiliki ekuitas negatif pada laporan keuangan terakhir berdasarkan surat No. Peng-UK-00007/BEI.PLP/03-2024 tanggal 8 Maret 2024. The share movement of PT Meratus Jasa Prima Tbk (the Company) has shown a significant increase since February 2024. This was revealed by the Indonesia Stock Exchange through the announcement of Unusual Market Activity (UMA) with letter No. Peng-UMA-00031/BEI.WAS/02-2024 dated February 7, 2024, and subsequently the suspension of trading activities of the Company's shares with letter No. Peng-SPT-00017/BEI.WAS/02-2024 on February 19, 2024, with the highest figure at Rp134 and Letter No. Peng-SPT-00019/BEI.WAS/02-2024 on February 22, 2024, with the highest figure at Rp161. The suspension of share trading activity for more than 1 day is one of the criteria that causes the Company's shares to be placed on the Special Monitoring Board in addition to having negative equity in the last financial report based on letter No. Peng-UK- 00007/BEI.PLP/03-2024 dated March 8, 2024.

x Perseroan mencapai angka kenaikan sampai Rp334 dan Bursa Efek Indonesia mengungkapkan surat pengumuman Nomor Peng-SPT-00035/BEI.WAS/03-2024 pada tanggal 21 Maret 2024 terkait penghentian sementara perdagangan efek Perseroan di Pasar Reguler dan Pasar Tunai mulai sesi I perdagangan. Perseroan selanjutnya sudah melaksanakan Public Expose Insidentil sebagai kepatuhan terhadap permintaan Bursa berdasarkan surat No. 03082/BEI.PP1/03-2024 tanggal 27 Maret 2024 tentang penyelenggaraan Public Expose Insidentil. The Company reached an increase of up to Rp334 and the Indonesia Stock Exchange disclosed the announcement letter No. Peng-SPT-00035/BEI.WAS/03-2024 on March 21, 2024, regarding the temporary suspension of the Company's securities trading in Regular Market and Cash Market starting from the first trading session. The Company has subsequently conducted an Incidental Public Expose in compliance with the Exchange's request based on letter No. 03082/BEI.PP1/03-2024 dated March 27, 2024, regarding the holding of an Incidental Public Expose.

x Per April 2024, ekuitas pada laporan keuangan perseroan bersifat negatif. Maka dari itu, Bursa mengumumkan bahwa Perseroan masuk ke dalam Papan Pemantauan Khusus dengan surat no. Peng-UK-00013/BEI.PLP/04-2024 tanggal 16 April 2024. Pergerakan saham Perseroan mencapai Rp760 yang menunjukkan peningkatan yang cukup tinggi yang menjadikan Bursa mengeluarkan pengumuman penghentian aktivitas perdagangan saham Perseroan dengan no. Peng-SPT-00064/BEI.WAS/07-2024 tanggal 17 Juli 2024. Penghentian aktivitas perdagangan saham ini menjadikan Perseroan masuk ke dalam Papan Pemantauan Khusus berdasarkan surat no. Surat Peng-UK-00029/BEI.PLP/07-2024 tanggal 30 Juli 2024. Pada tanggal 8 Agustus 2024, Perseroan masuk kembali ke dalam Papan Pemantauan Khusus karena ekuitas pada laporan keuangan terakhir pada saat itu bersifat negatif. As of April 2024, the equity in the Company's financial statements is negative. Therefore, the Exchange announced that the Company was placed in the Special Monitoring Board with letter no. Peng-UK-00013/BEI.PLP/04-2024 dated April 16, 2024. The movement of the Company's shares reached Rp760 which showed a high enough increase that made the Exchange issued an announcement of the suspension of trading activities of the Company's shares with no. Peng-SPT-00064/BEI.WAS/07-2024 dated July 17, 2024. The suspension of trading activities made the Company placed into the Special Monitoring Board based on letter no. Peng-UK- 00029/BEI.PLP/07-2024 dated July 30, 2024. On August 8, 2024, the Company was placed into the Special Monitoring Board because the equity in the last financial report at that time was negative.

Berkenaan dengan peningkatan harga saham yang cukum signifikan, sampai saat ini Perseroan tidak mengetahui hal-hal yang menyebabkan peningkatan nilai saham tersebut. Namun demikian, hingga saat ini Perseroan sedang memfokuskan dirinya untuk meningkatkan kinerja Perseroan.
