Material sehubungan dengan adanya Perubahan Anggaran Dasar sebagai berikut:
In accordance with OJK Regulation Number 31/POJK.04/2015 concerning Disclosure of
Material Information or Facts by Issuers or Public Companies as amended by OJK
Regulation Number 45 of 2024 concerning Development and Strengthening of Issuers
and Public Companies and Stock Exchange Regulation Number l-E concerning
Obligations to Submit Information (Decree of the Board of Directors of PT Bursa Efek
Indonesia Number Kep-00087/BEI/12-2025 dated December 12, 2025), we hereby for
and on behalf of PT Semen Baturaja (Persero) Tbk ("Company") submit a Report on
Material Information or Facts in connection with the Amendment to the Articles of
Association as follows:

2026, dengan ini Perseroan memberitahukan bahwa
Perseroan melakukan perubahan Anggaran Dasar
Perseroan dalam rangka penyesuaian Klasifikasi
Baku Lapangan Usaha Indonesia (KBLI) berdasarkan
Peraturan Badan Pusat Statistik Nomor 7 Tahun 2025
tentang Klasifikasi Baku Lapangan Usaha Indonesia,
serta penyesuaian ketentuan dalam Anggaran Dasar
Perseroan guna memenuhi ketentuan Undang-
Undang Nomor 16 Tahun 2025 tentang Perubahan
Keempat atas Undang-Undang Nomor 19 Tahun
2003 tentang Badan Usaha Milik Negara.
Perubahan tersebut termuat dalam Akta Notaris
Nomor 45 tanggal 18 Mei 2026 yang dibuat oleh
Notaris Aulia Taufani, S.H., dan telah mendapatkan
persetujuan perubahan anggaran dasar berdasarkan
Keputusan Menteri Hukum Republik Indonesia
dengan Nomor AHU-0038834.AH.01.02.TAHUN
2026 tanggal 18 Juni 2026.
Description of material Regarding the amendments to the Company's Articles
information or fact of Association, which were approved at the Annual
General Meeting of Shareholders ("AGMS") for the

2025 Financial Year on May 18, 2026, the Company
hereby notifies that the Company is amending the
Company's Articles of Association to adjust the
Indonesian Standard Industrial Classification (KBLI)
based on Statistics Indonesia Regulation Number 7 of
2025 concerning the Indonesian Standard Industrial
Classification, as well as to adjust the provisions in the
Company's Articles of Association to comply with Law
Number 16 of 2025 concerning the Fourth
Amendment to Law Number 19 of 2003 concerning
State-Owned Enterprises.
These amendments are contained in Notarial Deed
Number 45 dated May 18, 2026, drawn up by Notary
Aulia Taufani, S.H., and have been approved by the
Decree of the Minister of Law of the Republic of
Indonesia Number AHU-0038834.AH.01.02.TAHUN
2026 dated June 18, 2026.
