connection with the agreement to provide
additional guarantees by Pyfa Australia Pty. Ltd., a
controlled company of the Company established
based on the laws of the State of Victoria, Australia
(Pyfa Australia) to The Hong Kong and Shanghai
Banking Corporation Limited, Singapore Branch
(Bank) in the form of (i) 83,773,406 ordinary shares
held by Pyfa Australia in Probiotec Pty Limited
(company controlled by a Company established
under the laws of the State of Victoria, Australia or
Probiotec), including the rights and benefits
attached to such shares whether there have been
or will be, (ii) other effects on Probiotec that may
be traded which owned by Pyfa Australia in the
future or other securities agreed from time to time
time, and (iii) existing and future Pyfa Australia
properties, as set forth under Specific Security
Deed (Marketable Securities) and Featherweight
Security dated 4 December 2024 entered into
between Pyfa Australia and the Bank (Additional
Guarantees).
