Uraian Informasi atau Fakta Material Pada Tanggal 26 November 2024, PT Sinergi Multi Lestarindo
Tbk (Perseroan) telah menandatangani dokumen Perjanjian
Fasilitas atas pinjaman secara langsung dari PT Bank Resona
Perdania Perseroan (Perjanjian Fasilitas).
Perjanjian Fasilitas antara Perseroan dan PT Bank Resona
Perdania dengan nilai total fasilitas sampai dengan sebesar
Rp 24.800.000.000,- (dua puluh empat milyar delapan ratus
juta rupiah) dan USD 120.000 (seratus dua puluh ribu US
Dolar). Mengacu pada ketentuan Pasal 11 POJK Transaksi
Material, dalam hal Perseroan menerima pinjaman secara
langsung dari bank, maka dikecualikan atas kewajiban
penggunaan penilai dan memperoleh persetujuan RUPS.
Perjanjian Fasilitas antara Perseroan dan PT Bank Resona
Perdania sebagaimana dimaksud dengan rincian sebagai
berikut:
1. Fasilitas Pinjaman Berjangka
Jumlah : Rp 4.800.000.000,- (empat miliar delapan ratus
juta rupiah)
Jangka waktu Pinjaman : 25 November 2030
Fasilitas yang diberikan sehubungan dengan proses
pengambilalihan pinjaman dari PT Bank Central Asia
Tbk
2. Fasilitas Pinjaman Bergulir
Jumlah : Rp 20.000.000.000,- (dua puluh miliar Rupiah)
Jangka Waktu Pinjaman : 26 November 2025
3. Failitas Forward Exchange
Jumlah: USD 120.000 (seratus dua puluh ribu US Dolar)

November 26, 2025
Dampak kejadian, informasi atau fakta 1. Fasilitas Pinjaman yang akan diterima oleh Perseroan akan
material tersebut terhadap kegiatan digunakan sebagai opsi tambahan
operasional, hukum, kondisi keuangan, pembiayaan untuk mendukung belanja modal yang telah
atau kelangsungan usaha Emiten atau direncanakan oleh Perseroan.

2. Tidak terdapat dampak material dari peristiwa, informasi,
atau fakta material tersebut terhadap kondisi
keuangan Perseroan, kecuali kewajiban pembayaran bunga
dan pokok secara berkala sebagaimana fasilitas
kredit yang telah ada.
3. Peristiwa, informasi, atau fakta material tersebut tidak
mempunyai dampak material terhadap hukum dan
kelangsungan usaha Perseroan.

Description of Material Information or On November 26, 2024, PT Sinergi Multi Lestarindo Tbk (the
Facts Company) has signed an Facility Agreement for a direct loan
facility from PT Bank Resona Perdania (Facility Agreement)
Facility Agreement between the Company and PT Bank
Resona Perdania with the facility amounting to IDR
24.800.000.000,- (twenty-four billion eight hundred million
rupiahs) and USD 120,000 (one hundred and twenty thousand
US Dollars). Refering to the Article 11 of the POJK Material
Transaction, in the event of company receive loan from a
bank, it is exempted from the appraisal requirement and
obtaining GMS Approval.
Facility Agreement between the Company and PT Bank
Resona Perdania as referred to in detail as follows:
1. Term Loan Facility
Amount : IDR 4.800.000.000 (four billion eight hundred
million Rupiahs)
Loan Term : November 25, 2030
Facilities provided in connection with the loan takeover
process from PT Bank Central Asia Tbk.
2. Revolving Loan Facility
Amount: IDR 20,000,000,000 (twenty billion Rupiah).
Loan Term: November 26, 2025
3. Forward Exchange Facility
Amount: USD 120,000 (one hundred and twenty thousand
US Dollars)
