Uraian Informasi atau Fakta Material Sehubungan dengan saham Seri B atau Saham Dengan Hak
Suara Multipel (SDHSM) Perseroan yang saat ini masih dalam
bentuk warkat sehingga belum dapat diperdagangkan di BEI,
Perseroan dengan ini menyampaikan bahwa sejak hari ini, 13
November 2024, BEI telah menetapkan perubahan kode atas
seluruh SDHSM atau seluruh saham Seri B Perseroan yaitu
sebanyak 50.571.730.000 saham Seri B menjadi kode saham
GOTOM. Dengan kode saham baru yaitu GOTOM, saat ini
saham seri B atau SDHSM Perseroan tetap berbentuk warkat
dan belum dapat diperdagangkan di BEI.
Perubahan kode saham untuk SDHSM Perseroan ini merujuk
pada Pengumuman BEI sehubungan dengan Pencatatan Efek
Perseroan No. Peng-P-01651/BEI.PP3/11-2024 tanggal 12
November 2024 dan Surat Kustodian Sentral Efek Indonesia
No. KSEI-6017/DIR/1124 terkait Pendaftaran atas Saham
Dengan Hak Suara Multipel PT GoTo Gojek Tokopedia Tbk
tertanggal 12 November 2024, yang diketahui oleh Perseroan
pada tanggal 13 November 2024 yang merupakan tindak
lanjut dari Surat Keputusan Direksi PT Bursa Efek Indonesia
Nomor Kep-00172/BEI/10-2024 tanggal 29 Oktober 2024
perihal Ketentuan Pelaksanaan terkait Pencatatan dan
Perdagangan Saham Dengan Hak Suara Multipel.
Dengan demikian, total jumlah saham Perseroan yang tercatat
di BEI tidak berubah dan masih sebesar 1.191.144.997.220
saham, dengan rincian sebagai berikut:
1. 1.140.573.267.220 saham Seri A dengan kode GOTO; dan
2. 50.571.730.000 saham Seri B dengan kode GOTOM.
Selanjutnya, merujuk pada ketentuan Peraturan Otoritas Jasa
Keuangan No. 22/POJK.04/2021 tentang Penerapan
Klasifikasi Saham Dengan Hak Suara Multipel Oleh Emiten
Dengan Inovasi Dan Tingkat Pertumbuhan Tinggi Yang
Melakukan Penawaran Umum Efek Bersifat Ekuitas Berupa
Saham (POJK No. 22), setiap transaksi pengalihan SDHSM
wajib dilakukan melalui pasar negosiasi dan tidak dapat
ditransaksikan di pasar reguler. Lebih lanjut, POJK No. 22 juga
mengatur bahwa pemegang saham SDHSM wajib
memberitahukan rencana pengalihan SDHSM kepada
Perseroan dan OJK paling lambat 2 (dua) hari kerja sebelum
dilaksanakannya pengalihan SDHSM dan Perseroan wajib
mengumumkan rencana pengalihan SDHSM melalui situs web
BEI dan situs web Perseroan paling lambat 1 (satu) hari kerja
sebelum dilaksanakannya pengalihan SDHSM. Melalui
mekanisme yang diatur dalam POJK No. 22 ini, publik dan
investor akan memperoleh informasi terlebih dahulu sebelum
dilakukannya pengalihan SDHSM oleh para pemegang
SDHSM.
Apabila terdapat informasi material lainnya terkait hal-hal yang
disampaikan di dalam keterbukaan informasi ini, maka
Perseroan akan senantiasa mematuhi seluruh peraturan
terkait yang berlaku termasuk POJK No. 31 dan Peraturan BEI
I-E.

Description of Material Information or In relation to the Series B shares or Multiple Voting Shares
Facts (MVS) of the Company that are currently still in script form
which is not yet tradable in the IDX, the Company hereby
conveys that starting today, November 13, 2024, the IDX has
stipulated the change of code to all of the MVS or
50,571,730,000 Series B shares of the Company to be under
the code GOTOM. Under the new code GOTOM, the Series B
shares or MVS shares of the Company remain in script form
and not yet tradable in the IDX.
The change of code for the MVS of the Company is referring to
IDX Announcement regarding the Securities Listing of the
Company No. Peng-P-01651/BEI.PP3/11-2024 dated
November 12, 2024 and Indonesian Central Securities
Depository Letter No. KSEI-6017/DIR/1124 regarding
Registration of Shares with Multiple Voting Rights of PT GoTo
Gojek Tokopedia Tbk dated November 12, 2024, that was
acknowledged by the Company on November 13, 2024, which
is part of the implementation of Decree of the Directors of PT
Bursa Efek Indonesia Number Kep-00172/BEI/10-2024 dated
October 29, 2024 concerning Implementation Provisions
related to Listing and Trading Shares with Multiple Voting
Rights.
Therefore, the total shares of the Company listed in the IDX
does not change and remains 1,191,144,997,220 shares, with
detail as follows:
1. 1,140,573,267,220 Series A shares under the code GOTO;
and
2. 50,571,730,000 Series B Shares under the code GOTOM.
Further, referring to the provisions of Financial Services
Authority Regulation No. 22/POJK.04/2021 concerning the
Implementation of Classification of Shares with Multiple Voting
Rights by Issuers With Innovation and High Growth Rates Who
Conduct Public Offerings of Equity Securities in the Form of
Shares (POJK No. 22), each MVS transfer transaction must be
carried out through the negotiation market and cannot be
traded in the regular market. Furthermore, POJK No. 22 also
stipulates that MVS holders are required to notify the MVS
transfer plan to the Company and OJK no later than 2 (two)
working days before the MVS transfer is carried out and the
Company is required to announce the MVS transfer plan
through the IDX and the website of the Company no later than
1 (one) business day before the MVS transfer is implemented.
Through the mechanism regulated in POJK No. 22, the public
and investors will receive information prior to the transfer of
MVS that will be carried out by the MVS holders.
Should there be other material information in relation to the
matters conveyed in this disclosure of information, then the
Company will always comply with all applicable relevant
regulations including POJK No. 31 and IDX Regulation I-E.
