Uraian Informasi atau Fakta Material Pada tanggal 6 November 2024, Perseroan dan PT Kreasi
Jasa Persada (KJP), anak perusahaan yang dimiliki 99,99%
oleh Perseroan, telah menandatangani:
(1) Perjanjian Pengikatan Jual Beli Saham (PPJB);
sehubungan dengan penjualan atas 25.000.000 lembar saham
atau 100% saham di dalam PT Borneo Berkat Kutai (BBK)
yang dimiliki oleh PT Berkat Bumi Barito (BBB) dan Herry
Hermawanto (HH, dan bersama-sama dengan BBB disebut
Para Penjual);
(2) Akta Jual Beli Saham No. 10, No.11 dan No. 12
dibuat oleh Notaris Devi Yanti SH., MKn., Notaris di Jakarta;
sehubungan dengan penyelesaian akuisisi atas 25.000.000
lembar saham atau 100% saham di dalam BBK yang dimiliki
oleh Para Penjual; dan
(3) Perjanjian Pengikatan Jual Beli Saham Lunas (PPJB
Lunas); sehubungan dengan penjualan atas 2.400 lembar
saham atau 20% saham di dalam PT Intan Bumi Persada
(IBP) milik PT Herlindo Prima Jaya (HPJ); Adapun
penandatanganan akta jual beli untuk saham berdasarkan
PPJB Lunas ini akan segera dilaksanakan setelah
terpenuhinya seluruh persyaratan yang diatur di dalam PPJB
Lunas.
Pembelian saham sebagaimana disebutkan dalam angka (1),
(2) dan (3) di atas, selanjutnya disebut Transaksi.
IBP merupakan perusahaan pemegang Izin Usaha
Pertambangan Batubara (IUP) dengan wilayah kerja di
Kalimantan Tengah, sedangkan BBK merupakan pemilik 80%
saham di dalam IBP.
Dengan selesainya Transaksi, maka Perseroan akan menjadi
pemegang saham atas 100% saham secara langsung di
dalam BBK, dan secara tidak langsung di dalam IBP.
Dampak kejadian, informasi atau fakta Dengan selesainya Transaksi, maka Perseroan akan menjadi
material tersebut terhadap kegiatan pemegang saham langsung atas 100% saham di dalam BBK,
operasional, hukum, kondisi keuangan, dan secara tidak langsung di dalam IBP.

Perseroan, yang secara umum bertujuan untuk menambah
aset Perseroan, memperluas usaha Perseroan, serta

anak-anak usahanya sehingga dapat memberikan nilai lebih
kepada para pemangku kepentingan Perseroan di masa
mendatang.

Announcement of completion of share purchase by the
Type of Material Information or Facts Company and Company's subsidiaries
Description of Material Information or On 6 November 2024 the Company and PT Kreasi Jasa
Facts Persada (KJP), a subsidiary owned 99,99% by the Company,
has signed:
(1) Binding Agreement for the Sale and Purchase of
Shares (BSPA); in relation to the sale of 25,000,000 shares
100% shares in PT Borneo Berkat Kutai (BBK) owned by PT
Berkat Bumi Barito (BBB) and Hermawanto (HH, and together
with BBB, the Sellers);
(2) Deed of Sale and Purchase of Shares No. 10, No. 11
and No.12 made before Devi Yanti SH., MKn., Notary in
Jakarta; in relation to completion of the acquisition of
25,000,000 shares or 100% shares in the capital of BBK
owned by the Sellers; and
(3) Fully Paid Binding Agreement for the Sale and
Purchase of Shares (Fully Paid BSPA); in relation to the sale
of 2.400 shares or 20% shares in PT Intan Bumi Persada (IBP)
owned by PT Herlindo Prima Jaya (HPJ); The deed of sale
and purchase of shares under this Fully Paid BSPA will be
executed upon satisfaction of all conditions as stipulated in the
Fully Paid BSPA.
The purchase of shares described in points (1), (2) and (3)
above, hereinafter shall be referred to as the Transaction.
IBP is the holder of a Coal Mining Business License (IUP) with
the working area in Central Kalimantan, while BBK is the
holder of 80% shares in IBP.
Upon completion of the Transaction, the Company will become
the holder of 100% shares directly in BBK, and indirect
indirectly in IBP.
