Uraian Informasi atau Fakta Material Keterbukaan Informasi ini dibuat dalam rangka pemenuhan
POJK 17/2020 dan untuk memberikan informasi maupun
Gambaran yang lebih lengkap kepada para pemegang saham
Perseroan mengenai transaksi yang dilakukan oleh Perseroan.
Pada tanggal 30 Oktober 2024, Perseroan telah
menandatangani Perjanjian Pembelian/Pembuatan 1 (satu)
unit kapal penunjang lepas pantai atau kapal Anchor Handling
Tug Supply (AHTS) 80T BP (XYF125) kapasitas 6000BHP
(Transaksi Pembelian Kapal), dengan Great Union China
Limited
Nilai transaksi adalah sebesar USD 12.100.000 (dua belas juta
seratus ribu Dollar Amerika Serikat). Perseroan diharuskan
membayar deposit sebesar 10% atau sebesar USD1.210.000
paling lambat tanggal 22 November 2024. Dan sisa
pembayaran akan dilakukan secara bertahap. Serah terima
kapal akan dilakukan 390 hari sejak kontrak di tandatangani.
Dampak kejadian, informasi atau fakta DAMPAK TRANSAKSI TERHADAP KEUANGAN
material tersebut terhadap kegiatan PERSEROAN
operasional, hukum, kondisi keuangan, Transaksi pembelian satu unit kapal OSV memiliki dampak
atau kelangsungan usaha Emiten atau keuangan yaitu bertambahnya aset Perseroan sebesar USD
Perusahaan Publik 12.100.000 dan meningkatnya Utang Perseroan. Namun
Pembelian satu unit kapal ini diharapkan dapat meningkatkan
laba dan kinerja keuangan Perseroan, yang mana hal ini akan
memberikan dampak positif bagi Perseroan.
DAMPAK TRANSAKSI TERHADAP KEGIATAN
OPERASIONAL
Penambahan satu unit kapal OSV akan berdampak positif bagi
operasional Perseroan, dimana Perseroan dapat memenuhi
peluang -peluang akan permintaan sewa kapal baik dari luar
wilayah Indonesia maupun di wilayah Indonesia.

Description of Material Information or This information disclosure was made in order to fulfill POJK
Facts 17/2020 and to provide information and a more complete
picture to the Companys shareholders regarding transactions
carried out by the Company.
On October 30, 2024, The Company has signed an agreement
to purchase/make 1 (one) unit of offshore support vessel or
Anchor Handling Tug Supply (AHTS) 80T BP (XYF125) vessel
with capacity 6000BHP (Transaction of Purchase Vessel), with
Great Union China Limited
The Transaction value is USD 12.100.000 (twelve million one
hundred thousand United States Dollar). The Company is
required to pay a deposit of 10% or amounting USD1.210.000
no later than November 22, 2024. And the remaining payment
will be made in stages. Handover of the vessel will take place
390 days after the contract signed.

IMPACT OF OPERASIONAL ACTIVITIES
The addition of one unit OSV vessel will have a positive impact
on the Companys operations, where the Company can fulfill
opportunities for vessel chartered demand both from foreign
and within Indonesia.
