Uraian Informasi atau Fakta Material - Hari Rabu, tanggal 25 September 2024 telah
diadakan penandatanganan Akta Perjanjian Kredit PRK dan
PTA antara Bank Nobu dengan NKG dengan limit kredit
sebagai berikut :
-
- a. PRK limit sebesar Rp.50.000.000.000,00 (lima
puluh miliar rupiah).
- Jangka waktu : 12 (dua belas) bulan.

- b. PTA limit sebesar Rp.450.000.000.000,00 (empat
ratus lima puluh miliar rupiah).
- Jangka waktu : 7 (tujuh) tahun.
- Nilai Aset yang dijaminkan berupa 1 (satu) sertipikat
Hak Guna Bangunan (HGB) dengan NIB 22.03.000007180.0
(dahulu sertipikat HGB No. 72/Pecatu) yang terletak di
Propinsi Bali, Kabupaten Badung, Kecamatan Kuta Selatan,
Desa pecatu seluas 133.500 m2(seratus tiga puluh tiga ribu
lima ratus meter persegi). milik NKG dengan nilai penjaminan
sebesar Rp.625.000.000.000,00 (enam ratus dua puluh lima
miliar rupiah) serta Surat Pertanggungjawaban (LOU) PT. Intra
Golflink Resorts Tbk.
- Transaksi tersebut bukan merupakan Transaksi
Afiliasi sebagaimana yang dimaksud dalam Peraturan Otoritas
Jasa Keuangan mengenai Transaksi Afiliasi dan Transaksi
Benturan Kepentingan sebagaimana dimaksud pada POJK
42/POJK.04/2020.
- Transaksi tersebut dikecualikan dari Transaksi
Material sebagaimana yang dimaksud dalam Peraturan
Otoritas Jasa Keuangan POJK17/POJK.04/2020 tentang
Transaksi Material dan perubahan kegiatan usaha.
- Transaksi tersebut telah memperoleh persetujuan
dari Dewan Komisaris sesuai Surat Dewan Persetujuan
Komisaris Nomor: 051/NKGOV_KOM/IX/2024 tanggal 11
September 2024.

the name of PT. New Kuta Golf and Ocean View ("NKG") with
PT Bank National Nobu Tbk ("Bank Nobu").

Description of Material Information or On Wednesday, September 25, 2024, a signing of the Credit
Facts Agreement Act (PRK) and PTA took place between Bank
Nobu and NKG with the following credit limits:
- a. PRK limit of Rp.50,000,000,000.00 (fifty billion rupiah).
- Duration: 12 (twelve) months.
- b. PTA limit of Rp.450,000,000,000.00 (four hundred fifty
billion rupiah).
- Duration: 7 (seven) years.
- The value of the collateralized asset consists of 1 (one)
Building Use Rights certificate (HGB) with NIB
22.03.000007180.0 (previously HGB certificate No. 72/Pecatu)
located in Bali Province, Badung District, South Kuta Sub-
district, Pecatu Village covering an area of 133,500 m2 (one
hundred thirty-three thousand five hundred square meters),
owned by NKG with a collateral value of
Rp.625,000,000,000.00 (six hundred twenty-five billion rupiah)
as well as a Letter of Responsibility (LOU) from PT. Intra
Golflink Resorts Tbk.
- This transaction is not considered an Affiliated Transaction as
referred to in the Financial Services Authority Regulation
regarding Affiliated Transactions and Conflicts of Interest as
stated in POJK 42/POJK.04/2020.
- This transaction is exempted from Material Transactions as
referred to in the Financial Services Authority Regulation
POJK17/POJK.04/2020 regarding Material Transactions and
changes in business activities.
- This transaction has received approval from the Board of
Commissioners in accordance with the Board of
Commissioners' Approval Letter Number:
051/NKGOV_KOM/IX/2024 dated September 11, 2024.
