                                              Sale of all shares owned by the Company's subsidiaries in
 Type of Material Information or Facts        TCG

 Description of Material Information or       On 26 September 2024, the Company, through PT Indika Multi
 Facts                                        Properti ("IMP"), has signed the Conditional Sale Purchase
                                              Agreement with PT Barito Pacific Lumber ("BPL") and/or its
                                              affiliates (the "Purchasers"), in relation to the sale of all shares
                                              of IMP in PT Trisetia Citagraha ("TCG") in the amount of 6,332
                                              (six thousand three hundred thirty-two) shares representing
                                              the Company's 80% in-direct ownership in TCG to the
                                              Purchasers (the "Transaction").

                                              Agreed consideration for the Transaction is Rp26,774,000,000
                                              (twenty six billion seven hundred seventy four million Rupiah),
                                              which will be conducted in two stages:

                                              1) Stage I in the amount of Rp22,298,000,000 (twenty two
                                              billion two hundred ninety eight million Rupiah) for the transfer
                                              of rights over capital advance and the 60% (sixty percent) sale
                                              of shares of IMP to the BPL; and

                                              2) Stage II in the amount of Rp4,476,000,000 (for billion four
                                              hundred seventy six million Rupiah) for the 20% (twenty
                                              percent) sale of shares of IMP to the Purchasers.
