Merujuk kepada Peraturan Otoritas Jasa Keuangan
No. 14/POJK.04/2022 tentang Penyampaian
Laporan Keuangan Berkala Emiten atau
Perusahaan Publik (“POJK No. 14”) dan Keputusan
Direksi PT Bursa Efek Indonesia No:Kep-
00066/BE1/09-2022 tentang Perubahan Peraturan
Nomor I-E tentang Kewajiban Penyampaian
Informasi (“Peraturan BEI I-E”), dimana diatur pada
bagian III.1.1.4, apabila terdapat perubahan lebih
dari 20”6 pada Jumlah Aset dan/ atau Liabilitas
pada Laporan Keuangan Interim atau Laporan
Keuangan Auditan, maka Perseroan wajib
memberikan penjelasan tentang penyebab
perubahan berikut pendapat manajemen tentang
dampak perubahan tersebut terhadap kinerja
keuangan Perseroan pada tahun berjalan, maka
melalui surat ini Perseroan menyampaikan:

Terdapat perbaikan sebesar Rp6,21 triliun atau
setara dengan 33,805 pada total liabilitas
konsolidasian Perseroan dan Entitas Anak pada
tanggal 30 September 2024 apabila dibandingkan
dengan 31 Desember 2023. Penurunan ini
terutama disebabkan oleh penurunan pada utang
escrow dan lain-lain (pihak ketiga dan berelasi)
sebesar Rp3,02 triliun, perbaikan pada akrual
sebesar Rp1,01 triliun dan liabilitas pajak
tangguhan sebesar Rp1,89 triliun.

saldo nilai pada akun-akun tersebut yang terutama
datang dari platform Tokopedia, dimana mulai 1

Issuers or Public Companies ("POJK No. 14") and
the Decree of the Board of Directors of the Indonesia
Stock Exchange No: Kep-00068/IDX/09-2022 on the
'Amendments to Regulation Number I-£ concerning
Information — Submission — Obligations — ("IDX
Regulation I-E”), where stipulated on chapter
111.1.1.4 if there is more than 2096 change of the total
asset and/ or liabilities on the interim consolidated
financial statements or the audited consolidated
financial statements, the Company must provide
explanation on such changes including the
management's opinion on the changes to the
performance of the Company in the current year, the
Company would like to convey as follows:

There was an improvement of IDR 6.21 trillion or
eguivalent to 33.809 of the consolidated total
liabilities of the Company and its subsidiaries as of
September 30, 2024 compared to the balance
December 31, 2023. This improvement is mainly
caused by the escrow and other payables (third and
related parties) amounting to IDR 3.02 trillion as well
as improvement in the accruals and deferred tax
liabilities amounting to IDR 1.01 trilion and IDR 1.89
trillion, respectively.

The improvement in escrow and other payables,
accruals and deferred tax liabilities are due to the
balance in those accounts mainly coming from
Tokopedia platform, whereby as of February 1,
2024, PT Tokopedia has been deconsolidated. This
