Uraian Informasi atau Fakta Material Perseroan bermaksud untuk mengumumkan penyelesaian
atas penawaran tender tunai untuk pembelian kembali atas (i)
sebanyak-banyaknya sebesar US$100.000.000 7,375% Surat
Utang Senior jatuh tempo 2026 yang diterbitkan oleh Medco
Oak Tree Pte. Ltd. (Surat Utang 2026) dan (ii) sebanyak-
banyaknya sebesar US$50.000.000 6,375% Surat Utang
Senior jatuh tempo 2027 yang diterbitkan oleh Medco Bell Pte.
Ltd. (Surat Utang 2027), tidak termasuk bunga terakumulasi
yang berlaku (Penawaran Tender).
Medco Oak Tree Pte. Ltd.dan Medco Bell Pte. Ltd merupakan
anak perusahaan yang seluruhnya dimiliki oleh Perseroan
secara tidak langsung (Para Penerbit). Surat Utang 2026 dan
Surat Utang 2027 dijamin secara tanpa syarat dan tidak dapat
ditarik kembali oleh Perseroan dan beberapa anak
perusahaannya.
Sebagai referensi, terlampir kami sampaikan pengumuman
SGX-ST (versi Bahasa Inggris dan terjemahan Bahasa
Indonesia) tertanggal 22 Oktober 2024 sehubungan dengan
Penawaran Tender
Dampak kejadian, informasi atau fakta Dampak dari informasi terhadap kondisi keuangan Perseroan
material tersebut terhadap kegiatan adalah penyelesaian atas Penawaran Tender ini mengurangi
operasional, hukum, kondisi keuangan, kewajiban keuangan Perseroan secara konsolidasi.

The Settlement of the Tender Offer
Type of Material Information or Facts
Description of Material Information or The Company intends to announce the settlement of the cash
Facts tender offer for the repurchase of: (i) up to US$100,000,000 of
7.375% Senior Notes due 2026 issued by Medco Oak Tree
Pte. Ltd. (the 2026 Notes), and (ii) up to US$50,000,000 of
6.375% Senior Notes due 2027 issued by Medco Bell Pte. Ltd
(2027 Notes), excluding applicable accrued interest (Tender
Offer).
Medco Oak Tree Pte. Ltd. and Medco Bell Pte. Ltd are a
wholly owned indirect subsidiaries of the Company (the
Issuers). 2026 Notes and 2027 Notes unconditionally and
irrevocably guaranteed by the Company and its certain
subsidiaries.
As a reference, we hereby attached the SGX-ST
