Perjanjian Sewa Pembiayaan dengan PT. Mitsubishi

VKT2R HC Capital and Finance Indonesia (“MHCI”) pada tanggal 14 Oktober 2024 dengan rincian sebagai berikut: The Company, through its subsidiarv PT Sarana Ekomobilitas Indonesia (“SEI"), has signed a Finance Lease Agreement with PT. Mitsubishi HC Capital and Finance Indonesia (“MHCTI") on 14 October 2024 with the following details: Para Pihak / The Parties : » SEI, sebagai Penerima Sewa Pembiayaan. SEI, as the Lessee, » MHCI, sebagai Pemberi Sewa Pembiayaan. MHCI, as the Lessor. Nilai Transaksi & Jumlah Bunga / Transaction Value & Interest Rate: Nilai pembiayaan sebesar Rp 88.373.695.214,- (delapan puluh delapan miliar tiga ratus tujuh puluh tiga juta enam ratus Sembilan puluh lima ribu dua ratus empat belas Rupiah) dengan jumlah bunga sebesar tarif tetap 12,35”6 per tahun. The financing amount is Rp 88,373,695214 (eighty-eight billion three hundred seventy-three million six hundred ninety-five thousand two hundred fourteen Rupiah) with interest at a fixed rate of 12.3546 per annum. Jangka Waktu / Period: 36 (tiga puluh enam) bulan / 36 (thirty six) months Tujuan Transaksi / Transaction Purpose: Pemberian pembiayaan investasi dengan cara sewa pembiayaan untuk barang beserta jasa yang diperlukan (jika ada) untuk aktivitas usaha / investasi / rehabilitas / modernisasi / ekspansi SEI selaku penerima sewa pembiayaan. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional hukum, kondisi keuangan, atau kelangsungan usaha Perseroan atau Perusahaan Publik The impact of such events, information or material Penerimaan sewa pembiayaan dari MHCI memberikan dukungan finansial bagi Perseroan, melalui SEI sebagai entitas anak Perseroan, untuk meningkatkan efisiensi operasional dan mendukung pertumbuhan Perseroan. Jinancial condition, or business continuity of Ihe Company or Public Company Perseroan tanpa memberikan dampak signifikan pada kegiatan operasional, aspek hukum, atau kelangsungan usaha, sehingga memungkinkan Perseroan untuk terus berkembang dengan lebih baik. The acceptance of finance lease from MHCI provides Jinancial support for the Company, through SEI as @ subsidiary of the Company, to improve operational efficiency $ growth. This financing will and support the Company! strengthen the Company' financial position without having d significant impact on operational activities, legal aspects, or business continuity, allowing the Company to continue to grow better. 5. | Keterangan Lain-lain Others Keterbukaan informasi disampaikan untuk memenuhi Peraturan Otoritas Jasa Keuangan Nomor 42/POJK.04/2020 tentang Transaksi Afiliasi Dan Transaksi Benturan Kepentingan, dengan adanya transaksi pemberian jaminan oleh entitas induk Perseroan kepada MHCI atas pinjaman yang diterima oleh Perseroan, melaui entitas anaknya yakni SEI. This information disclosure is submitted to comply with the Financial Services Authority — Regulation — Number 42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transactions. with the transaction of' providing guarantees by the parent entity of the Company to MHCI for loans received by the Company, through its subsidiary i.e. SEI.
