Uraian Informasi atau Fakta : Pada tanggal 4 Juni 2026, Perseroan telah
Material / Details of melaksanakan pembelian 2 (dua) bidang tanah beserta
Information or Material Fact bangunan, masing-masing seluas 492 m² dan 493 m²
dengan bangunan permanen seluas ±400 m², yang
terletak di Jakarta Selatan, Provinsi DKI Jakarta.
Berdasarkan Akta Jual Beli Bangunan, Serta Pelepasan
Hak Atas Tanah dan Kuasa Nomor 10 dan 12 tanggal 4
Juni 2026, yang dibuat di hadapan Notaris Siti Prihatin
Yulianti, SH, M.Kn, berkedudukan di Jakarta Selatan.
Nilai transaksi sebesar Rp 18.700.000.000,- (delapan
belas miliar tujuh ratus juta Rupiah).
Penjual adalah pihak yang tidak terafiliasi dengan
Perseroan, sehingga transaksi ini bukan merupakan
transaksi afiliasi sebagaimana dimaksud dalam POJK
No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan.
Nilai transaksi berada di bawah ambang batas
materialitas 20% dari ekuitas Perseroan berdasarkan
Pasal 3 ayat (1) POJK No. 17/POJK.04/2020, sehingga
transaksi ini bukan merupakan transaksi material dan
tidak memerlukan persetujuan RUPS maupun
penunjukan penilai independen.
On June 4, 2026, the Company purchased 2 (two) parcels
of land and buildings, measuring 492 m² and 493 m²
respectively, with permanent structures covering
approximately 400 m², located in South Jakarta, DKI
Jakarta Province.
Based on the Deed of Sale and Purchase of Buildings, as
well as the Transfer of Land Rights and Power of Attorney
No. 10 and 12 dated June 4, 2026, executed before Notary
Siti Prihatin Yulianti, SH, M.Kn, located in South Jakarta.
The transaction value is Rp 18,700,000,000 (eighteen
billion seven hundred million Rupiah).
The seller is a party not affiliated with the Company;
therefore, this transaction does not constitute an affiliated
transaction as defined in POJK No. 42/POJK.04/2020
regarding Affiliated Transactions and Conflicts of Interest
Transactions.
The transaction value is below the materiality threshold of
20% of the Company’s equity pursuant to Article 3(1) of
POJK No. 17/POJK.04/2020; therefore, this transaction is
not a material transaction and does not require approval

Dampak kejadian, informasi : Pembelian aset ini merupakan bagian dari strategi
atau fakta material tersebut jangka panjang Perseroan untuk memperkuat nilai aset
terhadap kegiatan tetap. Pada saat keterbukaan informasi ini disampaikan,
operasional, hukum, transaksi tersebut tidak menimbulkan dampak material
kondisi keuangan, atau terhadap kegiatan operasional, kondisi keuangan,
kelangsungan usaha maupun kelangsungan usaha Perseroan.
