Uraian Informasi atau Fakta Material Pada tanggal 3 Oktober 2024, Perseroan, melalui PT Indika
Indonesia Resources ("IIR"), telah menandatangani Akta Jual
Beli Saham dengan PT Niaga Gilang Persada ("NGP")
("Pembeli"), mengenai pengalihan seluruh saham milik IIR di
PT Mitra Energi Agung ("MEA") sebesar 3.060 (tiga ribu enam
puluh) lembar saham, yang mewakili 60% kepemilikan di MEA
kepada Pembeli ("Transaksi").
Nilai yang disepakati untuk Transaksi adalah sebesar
Rp15.000.000.000 (lima belas milyar Rupiah).
Ringkasan Transaksi sebagai berikut:
Para Pihak: Penjual: IIR, Pembeli: NGP
Obyek Transaksi: Penjualan 3.060 lembar saham, yang
mewakili 60% kepemilikan di MEA.
Nilai Transaksi Rp15.000.000.000
Dampak kejadian, informasi atau fakta Setelah penyelesaian atas Transaksi, MEA tidak lagi menjadi
material tersebut terhadap kegiatan anak perusahaan Perseroan dan tidak dikonsolidasi dalam
operasional, hukum, kondisi keuangan, Laporan Keuangan Perseroan.

memastikan agar Perseroan fokus pada pelaksanaan kegiatan
usaha yang berkelanjutan.

Description of Material Information or On 3 October 2024, the Company, through PT Indika
Facts Indonesia Resources ("IIR"), has signed a Deed of Sale of
Shares with PT Niaga Gilang Persada ("NGP") ("Buyer"), in
relation to the sale of all shares of IIR in PT Mitra Energi
Agung ("MEA") in the amount of 3,060 (three thousand sixty)
shares, representing 60% ownership in MEA to the Purchaser
(the "Transaction").
Agreed consideration for the Transaction is Rp15,000,000,000
(fifteen billion Rupiah).
The Transaction summary as follows:
Parties Seller : IIR Buyer : NGP
Object of the Transaction: Sale of 3,060 shares, representing
60% ownership in MEA.
