Jenis Informasi atau Fakta Material Pembelian Saham Perseroan
Uraian Informasi atau Fakta Material Keterbukaan Informasi ini dibuat sehubungan dengan
transaksi pembelian saham oleh Perseroan atas 16.945 (enam
belas ribu sembilan ratus empat puluh lima) lembar saham
atau sejumlah 10% (sepuluh persen) saham PT Global Patra
Sinertama yang dimiliki oleh PT Gaia Anugerah Sempurna.
Dampak kejadian, informasi atau fakta Sesuai dengan aturan dalam POJK No. 17/POJK.04/2020
material tersebut terhadap kegiatan tentang Transaksi Material dan Perubahan Kegiatan Usaha
operasional, hukum, kondisi keuangan, (POJK 17 tahun 2020), maka batasan minimal Transaksi
atau kelangsungan usaha Emiten atau Material untuk Transaksi ini adalah 20% dari jumlah Ekuitas
Perusahaan Publik Perseroan yaitu sebesar Rp 167 Miliar. Dengan demikian
Transaksi ini bukanlah merupakan Transaksi Material
sebagaimana dimaksud dalam POJK 17 Tahun 2020
Transaksi ini bukan merupakan transaksi yang mengandung
benturan kepentingan sebagaimana dimaksud dalam POJK 42
tahun 2020. Hal ini dikarenakan tidak terdapat perbedaan
kepentingan ekonomis Perseroan dan kepentingan ekonomis
pribadi anggota Direksi, anggota Dewan Komisaris atau
pemegang saham utama yang dapat merugikan Perseroan.
Dengan demikian Transaksi ini bukanlah merupakan transaksi
benturan kepentingan sebagaimana dimaksud dalam POJK 42
tahun 2020.

Description of Material Information or This Disclosure of Information is made due to the Company's
Facts share purchase transaction of 16,945 (sixteen thousand nine
hundred and forty five) shares or 10% (ten percent) of PT
Global Patra Sinertama shares owned by PT Gaia Anugerah
Sempurna.
Impact of event, material information or In accordance with the regulations in POJK No.
facts towards Issuers or Public 17/POJK.04/2020 concerning Material Transactions and
Company’s operational activities, legal, Changes in Business Activities ("POJK 17 of 2020"), the
financial condition, or going concern minimum limit for Material Transactions for this Transaction is
20% of the Company's total Equity, namely IDR 167 Billion.
Thus, this transaction is not a material transaction as intended
in POJK 17 of 2020.
This transaction is not a transaction that contains a conflict of
interest as referred to in POJK 42 of 2020. This is because
there is no difference in the Company's economic interests and
the personal economic interests of members of the Board of
Directors, members of the Board of Commissioners or major
shareholders which could be detrimental to the Company.
Thus, this transaction is not a conflict of interest transaction as
intended in POJK 42 of 2020.
