baru, yang secara keseluruhan dan kumulatif, mewakili 35% (tiga
puluh lima persen) saham dalam PT Jasamarga Transjawa Tol
(“Transaksi”).
The signing of the transaction documents in relation to the (i)
transfer of shares; and (ii) the issuance of new shares, which in
aggregate collectively, representing 35% (thirty five percent) of
shares in PT Jasamarga Transjawa Tol ("Transaction").

Description of Information or Material (masing-masing akan didefinisikan di bawah, namun bersama-
Facts sama disebut “Para Investor”) masing-masing telah
menandatangani dokumen-dokumen transaksi dengan rincian
sebagai berikut:
On September 27, 2024 MUN, MPTIS and WIPL (each to be
defined below, but collectively referred to as the “Investors”) have
entered into the transaction documents with the following details:
(i) Akta Pengalihan Saham Nomor 08 tanggal 27 September
2024, dibuat dihadapan Titik Krisna Murti Wikaningsih
Hastuti, S.H., M.Kn., sehubungan dengan pengalihan
sejumlah 921.304.532 sembilan ratus dua puluh satu juta
tiga ratus empat ribu lima ratus tiga puluh dua) lembar saham
milik PT Jasa Marga (Persero) Tbk (“Jasa Marga”) dari total
seluruh saham yang diterbitkan secara sah oleh
PT Jasamarga Transjawa Tol (“JTT”) oleh dan antara Jasa
Marga dan MUN;
Deed of Transfer of Shares Number 08 dated 27 September
2024, made before Titik Krisna Murti Wikaningsih Hastuti,
S.H., M.Kn., in relation to the transfer of 921,304,532 (nine
hundred twenty one million three hundred four thousand five
hundred and thirty two) shares owned by Jasa Marga from
the total shares legally issued by JTT by and between Jasa
Marga and MUN;
(ii) Akta Pengalihan Saham Nomor 06 tanggal 27 September
2024, dibuat dihadapan Titik Krisna Murti Wikaningsih
Hastuti, S.H., M.Kn., sehubungan dengan pengalihan
sejumlah 3.002.125.746 (tiga miliar dua juta seratus dua
puluh lima ribu tujuh ratus empat puluh enam) lembar saham
milik Jasa Marga dari total saham yang diterbitkan secara
sah oleh JTT oleh dan antara Jasa Marga dan MPTIS;
Deed of Transfer of Shares, Number 06 dated 27 September
2024, made before Titik Krisna Murti Wikaningsih Hastuti,
S.H., M.Kn., in relation to the transfer of 3,002,125,746 (three
billion two million one hundred twenty-five thousand seven
hundred and forty six) shares owned by PT Jasa Marga
(Persero) Tbk (“Jasa Marga”) from the total shares legally
issued by PT Jasamarga Transjawa Tol (“JTT”) by and
between Jasa Marga and MPTIS;
(iii) Akta Pengalihan Saham Nomor 07 tanggal 27 September
2024, dibuat dihadapan Titik Krisna Murti Wikaningsih
Hastuti, S.H., M.Kn., sehubungan dengan pengalihan
sejumlah 2.276.612.025 (dua miliar dua ratus tujuh puluh
enam juta enam ratus dua belas ribu dua puluh lima) lembar
saham milik Jasa Marga dari total seluruh saham yang
diterbitkan secara sah oleh JTT oleh dan antara Jasa Marga
dan WIPL; dan
Deed of Transfer of Shares Number 07 dated 27 September
2024, made before Titik Krisna Murti Wikaningsih Hastuti,
S.H., M.Kn., in relation to the transfer of 2,276,612,025 (two
billion two hundred seventy-six million six hundred twelve
thousand twenty five) shares owned by Jasa Marga from the
total shares legally issued by JTT by and between Jasa
Marga and WIPL; and

(iv) Akta Pengalihan Saham Nomor 09 tanggal 27 September
2024, dibuat dihadapan Titik Krisna Murti Wikaningsih
Hastuti, S.H., M.Kn., sehubungan dengan pengalihan
sejumlah 205.459.492 (dua ratus lima juta empat ratus lima
puluh sembilan ribu empat ratus sembilan puluh dua) lembar
saham dalam JTT milik Koperasi Konsumen Karyawan Jalin
Margasejahtera (“KKJM”) dari total saham yang diterbitkan
secara sah oleh JTT oleh dan antara KKJM dan MPTIS.
Deed of Transfer of Share Number 09 dated 27
September 2024, made before Titik Krisna Murti Wikaningsih
Hastuti, S.H., M.Kn., in relation to the transfer of 205,459,492
(two hundred five million four hundred fifty-nine thousand
four hundred ninety-two) shares of the shares in JTT owned
by Koperasi Konsumen Karyawan Jalin Margasejahtera
(“KKJM”) from the total shares validly issued by JTT by and
between KKJM and MPTIS.
(v) Penerbitan sejumlah 1.208.585.244 (satu miliar dua ratus
delapan juta lima ratus delapan puluh lima ribu dua ratus
empat puluh empat) lembarsaham baru oleh JTT kepada
MPTIS sebagai tindak lanjut atas penyelesaian terhadap
Perjanjian Penyertaan Saham Bersyarat (“PPSB”) oleh dan
antara JTT dan MPTIS.
The Issuance of 1,208,585,244 one billion two hundred eight
million five hundred eighty five thousand two hundred forty
four) new shares by JTT to MPTIS as a follow up to the
completion of the Conditional Shares Subscription
Agreement (“CSSA”) by and between JTT and MPTIS.
Penandatangan dokumen-dokumen transaksi dan penyelesaian
atas PPSB sehubungan Transaksi tersebut merupakan bagian
dari rangkaian transaksi yang dilaksanakan oleh Para Investor
pada tanggal 28 Juni 2024 yang telah disampaikan melalui Fakta
Material Perseroan pada tanggal 1 Juli 2024.
The signing of transaction documents and the completion of the
CSSA in connection with the Transaction is part of a series of
transactions carried out by the Investors on 28 June 2024 which
have been submitted through the Company's Material Facts on 1
July 2024.
Melalui penandatanganan dokumen-dokumen transaksi dan
penyelesaian atas PPSB tersebut, Para Investor secara bersama-
sama telah menjadi pemegang sebesar 35% (tiga puluh lima
persen) atau setara 7.614.087.039 (tujuh miliar enam ratus empat
belas juta delapan puluh tujuh ribu tiga puluh sembilan) lembar
saham dalam JTT.
Through the signing of the transaction documents and the
completion of the CSSA, the Investors have jointly become the
holder of 35% or equivalent to 7,614,087,039 (seven billion six
hundred fourteen million eighty-seven thousand thirty-nine) shares
in JTT.
Para Investor (masing-masing, akan diuraikan di bawah ini) terdiri
dari :
The Investors (each, as defined below) consisting of:
1.) PT Margautama Nusantara (“MUN”) adalah perseroan
terbatas yang merupakan entitas asosiasi dari Perseroan
yang pada tanggal keterbukaan informasi ini dimiliki oleh
Perseroan dengan kepemilikan efektif Perseroan pada

MUN adalah sebesar 43,39% dari total seluruh saham
yang telah dikeluarkan secara sah oleh MUN.
PT Margautama Nusantara (“MUN”) is a limited liability
company which are associate entity of the Company
which on the date of this disclosure of information owned
by the Company with the effective ownership of 43,39%
from the total shares validy issued by MUN.
2.) PT Metro Pacific Tollways Indonesia Services (“MPTIS”)
yang merupakan perusahaan pengendali dari MUN (baik
langsung maupun tidak langsung) yang pada tanggal
keterbukaan informasi ini memiliki kepemilikan efektif
pada Perseroan sebesar 61,13% dari total seluruh
saham yang telah dikeluarkan secara sah oleh MUN.
PT Metro Pacific Tollways Indonesia Services (“MPTIS”)
which are controlling company of MUN (directly or
indirectly) which as of the date of this disclosure of
information the effective ownership of MPTIS in MUN is
61,13% from the total shares validly issued by MUN.
3.) Warrington Investment Pte Ltd (“WIPL”) entitas terafiliasi
dengan Government of Singapore Investment
Corporation Ventures (GIC), dengan kepemilikan efektif
sebesar 33,00% dari total seluruh saham yang telah
dikeluarkan secara sah oleh MUN.
Warrington Investment Pte Ltd (“WIPL”) an affiliate entity
of Government of Singapore Investment Corporation
Ventures (GIC), with an effective ownership of 33,00%
from the total shares validly issued by MUN.
Pada tanggal keterbukaan informasi ini, baik Perseroan maupun
Para Investor tidak memiliki hubungan afiliasi baik dengan Jasa
Marga dan KKJM maupun JTT.
As of the date of this disclosure of information, the Company or the
Investors is not affiliated with Jasa Marga and KKJM or JTT.
Sebagai informasi tambahan, JTT merupakan perusahaan induk
dari para badan usaha jalan tol pemegang konsesi sepanjang 676
KM (enam ratus tujuh puluh enam kilometer) dari Jalan Tol Trans
Jawa. Jalan tol ini terdiri dari 13 ruas jalan tol yakni Jakarta –
Cikampek; Jakarta - Cikampek II Elevated (dikenal sebagai jalan tol
Syekh Mohammed Bin Zayed); Palimanan – Kanci; Batang –
Semarang; Semarang Seksi A, B, C; Semarang – Solo; Solo –
Ngawi; Ngawi - Kertosono- Kediri; Surabaya – Mojokerto; Surabaya
– Gempol; Gempol – Pasuruan; Gempol – Pandaan serta Pandaan
- Malang.
As an additional information, JJT is the holding company of toll road
business entity, which are the concession holder of 676 KM (six
hundred seventy six kilometers) of the Trans Java Toll Road. This
toll road consists of 13 toll road sections namely Jakarta - Cikampek;
Jakarta - Cikampek II Elevated (known as Syekh Mohammed Bin
Zayed Highway); Palimanan - Kanci; Batang - Semarang; Semarang
Section A, B, C; Semarang - Solo; Solo - Ngawi; Ngawi - Kertosono-
Kediri; Surabaya - Mojokerto; Surabaya - Gempol; Gempol -
Pasuruan; Gempol - Pandaan and Pandaan - Malang.
4. Dampak kejadian, informasi atau fakta Pelaksanaan Transaksi diharapkan dapat memperkuat fondasi
material tersebut terhadap kegiatan pertumbuhan bisnis Perseroan dan meningkatkan kapasitas
operasional, hukum, kondisi keuangan portofolio Perseroan di sektor jalan tol serta memberikan kontribusi
atau kelangsungan usaha Perseroan signifikan terhadap pengembangan infrastruktur nasional. Dampak

Selain itu, pelaksanaan Transaksi tidak akan berdampak negatif
terhadap kegiatan operasional, hukum dan kondisi keuangan
maupun kelangsungan usaha Perseroan.
Furthermore, the implementation of the Transaction will not cause
the negative impact to the operational, law and financial condition or
the business activity of the Company.
