Uraian Informasi atau Fakta Material Pada Tanggal 12 September 2024, PT Sinergi Multi Lestarindo
Tbk (Perseroan) telah menandatangani dokumen Perubahan
dan Pernyataan Kembali Perjanjian Kredit atas fasilitas
pinjaman secara langsung dari PT Bank BTPN Tbk kepada
Perseroan (Perjanjian Fasilitas).
Perjanjian Fasilitas antara Perseroan dan PT Bank BTPN Tbk
dengan nilai total fasilitas sebesar Rp
43.000.000.000,- (empat puluh tiga milyar rupiah). Mengacu
pada ketentuan Pasal 11 POJK Transaksi Material, dalam hal
Perseroan menerima pinjaman secara langsung dari bank,
maka dikecualikan atas kewajiban penggunaan penilai dan
memperoleh persetujuan RUPS.
Perjanjian Fasilitas antara Perseroan dan PT Bank BTPN Tbk
sebagaimana dimaksud dengan rincian sebagai berikut :
1. Fasilitas Pinjaman Rekening Koran (PRK) Overdraft Facility
Jumlah Rp 14.000.000.000
Tanggal Jatuh Tempo 25 April 2025
Jangka waktu Pinjaman Tidak ada.
2. Fasilitas Loan on Note Account Payable Financing (LON
APF)
Jumlah : Rp 20.000.000.000 (dua puluh miliar Rupiah) atau
nilai setaranya dalam mata uang USD/
Tanggal Jatuh Tempo Maks.6 (enam) bulan setelah tanggal
penarikan terakhir fasilitas.
Penarikan hanya untuk pemasok-pemasok yang telah
disetujui oleh Bank.
3. Failitas Loan on Certificate
Jumlah : Rp 9.000.000.000
Tanggal Jatuh Tempo 31 Maret 2028
Fasilitas yang diberikan sehubungan dengan proses
pengambilalihan pinjaman dari PT Bank Danamon
Indonesia Tbk.
Dampak kejadian, informasi atau fakta Penjelasan, pertimbangan, dan alasan dilakukannya Transaksi
material tersebut terhadap kegiatan Material serta pengaruh transaksi tersebut pada kondisi
operasional, hukum, kondisi keuangan, keuangan Perseroan :
atau kelangsungan usaha Emiten atau
Perusahaan Publik 1. Fasilitas Pinjaman yang akan diterima oleh
Perseroan akan digunakan sebagai opsi tambahan
pembiayaan untuk mendukung belanja modal yang telah
direncanakan oleh Perseroan.
2. Tidak terdapat dampak material dari peristiwa,
informasi, atau fakta material tersebut terhadap kondisi
keuangan Perseroan, kecuali kewajiban pembayaran
bunga dan pokok secara berkala sebagaimana
fasilitas kredit yang telah ada.
3. Peristiwa, informasi, atau fakta material tersebut tidak
mempunyai dampak material terhadap hukum dan
kelangsungan usaha Perseroan.

Description of Material Information or On September 12 2024, PT Sinergi Multi Lestarindo Tbk (the
Facts Company) has signed an Amendment and Restatement of the
Credit Agreement document for a direct loan facility from PT
Bank BTPN Tbk to the Company (Facilitation Agreement).
Facility Agreement between the Company and PT Bank BTPN
Tbk with the facility amount of Rp 43.000.000.000. Refering to
the Article 11 of the POJK Material Transaction, in the event of
company receive loan from a bank, then it is exempted from
the appraisal requirement and obtaining GMS Approval.
Facility Agreement between the Company and PT Bank BTPN
Tbk as referred to in detail as follows:
Overdraft Facility (PRK)
Amount IDR 14,000,000,000
Due Date April 25, 2025
Loan term None.
2. Loan on Note Account Payable Financing (LON APF) facility
Amount: IDR 20,000,000,000 (twenty billion Rupiah) or
equivalent value in USD/
Maturity Date: Maximum 6 (six) months after the date of the
last withdrawal from the facility.
Withdrawals are only for suppliers who have been approved
by the Bank
3. Loan on Certificate Facilities
Amount: Rp. 9,000,000.00
Due Date March 31, 2028

process from PT Bank Danamon

financial condition, or going concern 1. The loan facility that will be received by the Company will
be used as an additional financing option to
support the capital expenditure planned by the Company.
2. There is no material impact from this event, information,
or material facts to the Company's financial
condition, except for the obligation to pay interest and
principal periodically as per existing credit facilities.
3. There is no material impact of this event, information, or
material facts on the law and the business
continuity of the Company.
