Namun demikian, Perseroan tidak wajib menggunakan Penilai dan memperoleh persetujuan Rapat Umum Pemegang Saham (RUPS) sebagaimana

2 buanafinance dimaksud dalam Pasal 11 POJK No.17 karena merupakan transaksi pinjaman yang diterima secara langsung dari bank / The execution of the Facility Agreement constitutes a Material Transaction under POIK No. 17, where the borrowing amount of the facility exceeds 2085 of the Company's eguity based on Audited Financial Statement as of December 31, 2023 audited by KAP Paul Hadiwinata, Hidajat, Arsono, Retno, Palilingan & Rekan. However, the Company is not reguired to use an Appraiser and obtain General Meeting Shareholders (GMS) approval as referred to in Article 11 of POJK No. 17 because it is a loan transaction received directly from bank.
