Rencana Penambahan Modal Dengan Memberikan Hak
Memesan Efek Terlebih Dahulu
Uraian Informasi atau Fakta Material Dalam upaya untuk meningkatkan dan mengembangkan
usaha, Perseroan melakukan inisiatifnya melalui perolehan
aktiva tetap berupa bangunan hangar dan fasilitas
pendukungnya yang dialihkan oleh GIAA kepada Perseroan.
Pengalihan aktiva tetap tersebut dilakukan dengan mekanisme
penerbitan saham oleh Perseroan kepada GIAA sebagai
penyertaan modal secara non-tunai. Sehubungan dengan hal
tersebut, Perseroan berencana untuk melakukan PMHMETD.
Adapun Perseroan bermaksud untuk menerbitkan saham
sebanyak-banyaknya 11.736.512.323 (sebelas miliar tujuh
ratus tiga puluh enam juta lima ratus dua belas ribu tiga ratus
dua puluh tiga) lembar saham Seri B dengan nilai nominal
sebesar Rp 25,- (dua puluh lima Rupiah) dari modal
ditempatkan dan disetor penuh Perseroan.
Dampak kejadian, informasi atau fakta Pelaksanaan PMHMETD akan memberikan dampak langsung
material tersebut terhadap kegiatan berupa peningkatan aset tetap Perseroan setidaknya sejumlah
operasional, hukum, kondisi keuangan, Rp 418.289.300.000 (empat ratus delapan belas miliar dua
atau kelangsungan usaha Emiten atau ratus delapan puluh sembilan juta tiga ratus ribu Rupiah) yang
Perusahaan Publik berasal dari penyertaan modal non-tunai berupa Aset GIAA.
Selain dari aset tetap, pelaksanaan PMHMETD ini juga akan
memberikan dampak pada peningkatan posisi kas dan setara
kas Perseroan dengan partisipasi dari pemegang saham
lainnya.

Disclosure of Information to Shareholders of PT Garuda
Type of Material Information or Facts Maintenance Facility Aero Asia Tbk Regarding Plan of Capital
Increase by Providing Pre-emptive Rights
Description of Material Information or As an effort to improve and develop its business, the Company
Facts carried out its initiative by acquiring fixed assets in the form of
hangar buildings and its supporting facilities which are
transferred by GIAA to the Company. The transfer of fixed
assets are carried out using the mechanism of issuance of
shares by the Company to GIAA as non-cash capital
participation. In connection with this, the Company plans to
conduct PMHMETD.
The Company intends to issue shares as many as possible
11.736.512.323 (eleven billion seven hundred and thirty six
million five hundred twelve thousand three hundred and twenty
three) Series B shares with a nominal value of IDR 25 (twenty
five Rupiah) from the issued and fully paid-up capital of the
Company.
Impact of event, material information or The implementation of PMHMETD will have a direct impact in
facts towards Issuers or Public the form of the increase of Company's fixed assets by at least
Company’s operational activities, legal, IDR 418,289,300,000 (four hundred eighteen billion two
financial condition, or going concern hundred eighty-nine million three hundred thousand Rupiah)
originating from non-cash capital participation in the form of
GIAA Assets. Apart from fixed assets, the implementation of
PMHMETD will also give an impact in increasing the
Company's cash and cash equivalents position with the
participation of other shareholders.
