Dengan demikian, Perseroan melakukan keterbukaan
informasi dalam rangka memenuhi ketentuan Peraturan I-E

dan POJK No.31/2015
Type of material limited The Company's participation in establishing a joint venture
information or facts company (JV) together with PT Samudra Investama Maju

(SIM), under the name PT Trans Ocean Permata with the
following share ownership composition:
- The Company as much as 515 of the paid-up capital:
- SIM as much as 494 of the paid-up capital.

Based on Deed of Establishment No. 07 dated August 08,
2024 and Deed of Amendment No. 05 dated September 05,
2024, both deeds were made before Notary Sri Hidianingsih
Adi Sugijanto, SH. The Deed of Establishment has been
approved by the Minister of Law and Human Rights Number
AHU-0069621.AH.01.01.year 2024 dated September 6, 2024.

The Company's investment of the JV is classified as Material
Information or Facts, namely the formation of a joint venture
based on Article 6 point (a) of OJK Regulation No. 31/2015,
where the Company is also reguired to submit an incidental
report to the public regarding matters related to the Company
and/or its subsidiaries, which may affect the Company's
securities prices and/or investors' investment decisions based
on Article III.2.1.1 of Regulation I-£.

Therefore, the Company is disclosing this information in
compliance with the provisions of Regulation I-£ and OJK
Regulation No. 31/2015.

defined under Article 1 paragraph 1 of Law Number 8 of
1995 concerning the Capital Market and Article 1
paragraph 1 of Financial Services Authority Regulation
Number  42/POJK.04/2020  concerning  Affiliated
Transactions and Conflicts of Interest.

5: Keterangan lain-lain JV/PT Trans Ocean Permata berencana untuk membeli 20 set
kapal tunda & kapal tongkang dan 2 unit kapal floating crane
yang akan direalisasikan dalam kurun waktu 2 — 3 tahun
dengan total capex senilai #US$9O juta. Pembiayaan
pembelian kapal berasal dari 20x dana internal JV dan 804
dari pinjaman bank/lembaga keuangan.

Others The JV/PT Trans Ocean Permata plans to purchase 20 sets of
tugboats & barges and 2 units of floating crane which will be
realized within a period of 2-3 years with a total capex of
US$90 million. Financing for the purchase of vessels comes
from 209 of the JV's internal funds and 804 from
bank/financial institution loans.
