Uraian Informasi atau Fakta Material Berdasarkan Akta Pendirian Nomor 47 Tanggal 15 Februari
2024 yang dibuat dihadapan Notaris Elizabeth Karina Leonita,
S.H., M.Kn., Notaris di Jakarta dan telah mendapat
persetujuan dari Menteri Hukum dan Hak Asasi Manusia
Republik Indonesia dalam Surat Keputusan No. AHU-
0046463.AH.01.11.Tahun 2024 Tanggal 04 Maret 2024.
Sebagaimana telah diubah berdasarkan Akta Pernyataan
Keputusan Para Pemegang Saham PT Sinar Aroma Sentosa
Nomor 6 Tanggal 03 September 2024, yang dibuat dihadapan
Notaris Elizabeth Karina Leonita, S.H., M.Kn., Notaris di
Jakarta dan telah mendapat persetujuan dari Menteri Hukum
dan Hak Asasi Manusia Republik Indonesia dalam Surat
Keputusan No. AHU-0187055.AH.01.11.Tahun 2024 tanggal
04 September 2024.
Telah dibentuk Entitas Anak yang efektif menjalankan bidang
usahanya setelah mendapatkan persetujuan dan perizinan
dari otoritas terkait, sebagai berikut :
a. Nama : PT Sinar Aroma Sentosa
b. Kedudukan : Kawasan Industri & Pergudangan
Laksana Business Park Blok F No. 23 A, Desa Laksana,
Kec. Pakuhaji, Kab. Tangerang 15570
c. Kegiatan Usaha :
Entitas Anak akan melakukan kegiatan pengolahan atau
pencampuran bahan baku (blending)
sebagaimana diuraikan dalam KBLI 10772, 20294, 20296
dan 20299.
d. Modal :
Modal Dasar Rp 10.000.000.000,- (sepuluh milyar
rupiah), Modal Ditempatkan dan Disetor Penuh Rp
2.500.000.000,- (dua milyar lima ratus juta rupiah)
e. Pemegang Saham :
(i) PT Sinergi Multi Lestarindo Tbk sebesar 99,96%
(sembilan puluh sembilan koma sembilan puluh
enam persen) atau setara dengan Rp 2.499.000.
000,- (dua milyar empat ratus sembilan puluh
sembilan juta rupiah).
(ii) Yulia Rosaline sebesar 0,04% (nol koma nol empat
persen) atau setara dengan Rp 1.000.000,- (satu
juta rupiah).
f. Tujuan dilakukan pembentukan Entitas Anak :
Diversifikasi usaha untuk menjaga kelangsungan usaha
Perseroan dan menunjang kegiatan usaha utama
Perseroan dalam memenuhi permintaan pasar akan
kebutuhan bahan baku dan memberikan nilai tambah
produk yang akan dijual kepada pelanggan.
Dampak kejadian, informasi atau fakta Terbentuknya entitas anak perusahaan membuat aktivitas
material tersebut terhadap kegiatan operasional yang dijalankan perusahaan menjadi lebih fokus
operasional, hukum, kondisi keuangan, dan efisien serta Perseroan dapat memenuhi permintaan
atau kelangsungan usaha Emiten atau pasar yang lebih luas.

As amended based on the Amendment to the Deed of
Establishment Number 03 September 2024, drawn up before
Notary Elizabeth Karina Leonita, S.H., M.Kn., Notary in Jakarta
and has received approval from the Minister of Law and Rights
Human Rights of the Republic of Indonesia in Decree No.

The Subsidiary that carries out the processing or mixing of
raw materials (blending) as described in KBLI
10772, 20294, 20296, and 20299.
d. Capital:
Authorized Capital IDR 10,000,000,000 (ten billion rupiah),
Issued and Paid Up Capital IDR
2,500,000,000 (two billion five hundred million rupiah)
e. Shareholders :
(i) PT Sinergi Multi Lestarindo Tbk amounting to 99.96%
(ninety-nine point ninety-six percent) or the
equivalent of Rp. 2,499,000. 000,- (two billion four
hundred and ninety-nine million rupiah).
(ii) Yulia Rosaline of 0.04% (zero point zero four percent)
or the equivalent of IDR 1,000,000 (one million
rupiah).
e. The purpose of establishment of the Subsidiary:
Business diversification to maintain the sustainability in
business and support the main business of

materials and provide added value to products for
