Pengambilalihan atas PTOS oleh Perseroan
dilakukan dalam rangka pembentukan
Konglomerasi Keuangan OCBC Group di
Indonesia, di mana Perseroan berperan sebagai
Perusahaan Induk Konglomerasi Keuangan
Operasional (“PIKK") dan PTOS sebagai anggota
Konglomerasi Keuangan.

Rencana Transaksi ini dikecualikan dari Peraturan
OJK di bidang pasar modal, sesuai dengan Pasal
89 POJK PIKK yang menyebutkan: Dalam
pelaksanaan restrukturisasi kepemilikan dan/atau
pengalihan saham untuk memenuhi ketentuan
sebagai PIKK dan Konglomerasi Keuangan,
dikecualikan dari Peraturan OJK di bidang pasar
modal.

Walaupun Perseroan tidak diharuskan menunjuk
penilai independen, namun Perseroan berinisiatif
menunjuk penilai independen untuk melakukan
penilaian terhadap transaksi ini. Hal ini merupakan
komitmen Perseroan untuk menerapkan tata kelola
perusahaan yang baik dalam setiap kegiatan
usaha dan aktivitasnya.

Nilai atas Rencana Transaksi adalah Rp453,449
miliar.

Sumber dana untuk Rencana Transaksi tersebut
berasal dari dana internal Perseroan.

The acguisition of PTOS, by the Company is related
to the establishment of the OCBC Group Financial
Conglomerate in Indonesia, where the Company
acts as the Operational Financial Conglomerate
Holding Company ("FHC") and PTOS, as a member
of the Financial Conglomerate.

This Proposed Transaction, is exempt from OJK
regulations governing the capital market sector,
pursuant to Article 89 of POJK PIKK. This Article
provides that: Ownership restructuring and/or share
transfers undertaken to meet the reguirements as a
FHC and Financial Conglomerate, are exempt from
OJK regulations governing the capital market
sector.

While not reguired to engage an independent
appraiser, the Company has voluntarily appointed
one to value the transaction. This action
underscores the Company's dedication to adhering
to best practices in corporate governance.

The value of Proposed Transaction is IDR453.449
billion.

The Proposed Transaction will be funded by the
Company's internal funds.

Impact of the Incident, information, or material
fact on the operational activities, legal aspects,
financial conditions, or the continuity of
business of the Company:

Upon completion of the Proposed Transaction, the
Company will directly own, 98.9932Y6 of the shares
in PTOS.

Thereby, the Company will become the controling
Shareholder of PTOS, where the Company acts as
the FHC, and PTOS as member of the Financial
Conglomerate.

Other Information:

The Company also intends to acguire the
remaining 1.006746 shares of PTOS from minority
shareholders, bringing the Company's total
ownership of PTOS to 99.999946.
