Jenis Informasi atau Fakta Material Perseroan Menandatangani Perjanjian Fasilitas Kredit
Uraian Informasi atau Fakta Material Pada tanggal 28 Agustus 2024 Perseroan telah
menandatangani perjanjian kredit dengan PT Bank Central
Asia (BCA) dengan nilai sebesar Rp. 130 Milyar dengan
periode waktu tenor selama 5 tahun. Nilai pinjaman tersebut
terhadap Ekuitas Perseroan berdasarkan Laporan Keuangan
Interim per periode 30 Juni 2024 adalah sebesar 14.22%,
sehingga transaksi tersebut tidak perlu mendapatkan
persetujuan dari Rapat Umum Pemegang Saham. Namun
demikian Perseroan telah mendapatkan persetujuan dari
Dewan Komisaris terkait hal ini.
Terkait dengan perjanjian kredit ini, Perseroan menjaminkan
1 (satu) unit kapal Bulk Carrier, yaitu MV. Habco Ankaa
sebagai agunan sebesar Rp. 112.500.000.000.
Fasilitas kredit yang diperoleh Perseroan akan digunakan
seluruhnya untuk membeli armada kapal bulk carrier baru dari
pihak ketiga yang bukan merupakan pihak yang memiliki
afiliasi terhadap Perseroan.
Dampak kejadian, informasi atau fakta Dampak terhadap kondisi keuangan Perseroan adalah bahwa
material tersebut terhadap kegiatan Liabilitas Perseroan meningkat Rp. 130 Milyar, dan Debt to
operasional, hukum, kondisi keuangan, Equity Ratio (DER) juga meningkat 0,31x jika diasumsikan dari
atau kelangsungan usaha Emiten atau figur Laporan Keuangan Interim per 30 Juni 2024 (unaudited)
Perusahaan Publik yang telah kami laporkan melalui aplikasi XBRL pada tanggal
29 Juli 2024 dengan nomor surat 047/FA/HTM/VII/24
Tidak ada dampak terhadap kegiatan operasional, dampak
hukum atau terhadap kelangsungan usaha Perseroan akibat
dari ditandatanganinya perjanjian kredit ini.

The Company Signed Credit Facility Agreement
Type of Material Information or Facts
Description of Material Information or On August 28 2024 the Company signed a credit agreement
Facts with PT Bank Central Asia (BCA) with a value of Rp. 130 billion
with a tenor period of 5 years. The loan value of the
Company's Equity based on the Interim Financial Report for
the period 30 June 2024 is 14.22%, so this transaction does
not need to obtain approval from the General Meeting of
Shareholders. However, the Company has obtained approval
from the Board of Commissioners regarding this matter.
In connection with this credit agreement, the Company
guarantees 1 (one) unit of Bulk Carrier ship, namely MV.
Habco Ankaa as collateral amounting to Rp. 112,500,000,000.
The credit facilities obtained by the Company will be used
entirely to purchase a fleet of new bulk carrier vessels from
third parties who are not affiliated with the Company.
Impact of event, material information or The impact on the Company's financial condition was that the
facts towards Issuers or Public Company's Liabilities increased by Rp. 130 billion, and the
Company’s operational activities, legal, Debt to Equity Ratio (DER) also increased by 0.31x if assumed
financial condition, or going concern from the Interim Financial Report figures as of 30 June 2024
(unaudited) which we reported via the XBRL application on 29
July 2024 with letter number 047/FA/HTM /VII/24.
There is no impact on operational activities, legal impacts or
the continuity of the Company's business as a result of the
signing of this credit agreement.
