Uraian Informasi atau Fakta Material Penjualan kapal tug boat milik Perseroan, berupa 1 unit kapal
tug boat yang bernama Semar Duapuluhtujuh (Kapal), kepada
PT OTS Internasional (OTSI), anak usaha Perseroan.
Nilai perolehan atas 1 (satu) unit Kapal adalah sebesar
Rp2.800.000.000,00 (dua miliar delapan ratus juta rupiah)
Sumber pendanaan OTSI untuk pembelian Kapal sebesar
100% (seratus persen) berasal dari keuangan internal.
Pembeli atas Kapal yaitu OTSI merupakan entitas anak
Perseroan dan perusahaan terkendali Perseroan dengan
kepemilikan langsung sebanyak 99,9% (sembilan puluh
sembilan koma sembilan persen) saham.
Dampak kejadian, informasi atau fakta Penjualan Kapal Perseroan kepada OTSI bertujuan untuk
material tersebut terhadap kegiatan pengembangan usaha OTSI di masa yang akan datang,
operasional, hukum, kondisi keuangan, diharapkan dengan penjualan Kapal Perseroan kepada OTSI
atau kelangsungan usaha Emiten atau tersebut dapat menciptakan sinergi yang saling mendukung
Perusahaan Publik atau menguatkan dalam upaya untuk meningkatkan nilai
Perusahaan dan memberikan kontribusi positif bagi para
pemegang saham dan pemangku kepentingan.

Description of Material Information or Sale of tug boat owned by Company, in the form of 1 unit of
Facts tug boat named Semar Duapuluhtujuh (Vessel), to PT OTS
Internasional (OTSI), a subsidiary of the Company.
The acquisition value of 1 (one) unit of the Vessel is
Rp2.800.000.000,00 (two billion eight hundred million rupiahs)
The source of OTSI of funding for the purchase of the Vessel
is 100% (one hundred percent) from internal financing.
The buyer of the Vessel is OTSI, is a subsidiary of the
Company and a controlled company of the Company with
direct ownership of 99.9% (ninety nine point nine percent)
shares
Impact of event, material information or The sale of the Vessel of the Company to OTSI is intended to
facts towards Issuers or Public facilitate the growth of business of OTSI operations in the
Company’s operational activities, legal, future. It is anticipated that the sale of the Vessel of the
financial condition, or going concern Company to OTSI will result in the creation of synergies that
will enhance the value of the company and provide a positive
