. Nilai perolehan atas 1 (satu) unit Kapal adalah

sebesar Rp2.800.000.000,00 (dua miliar delapan
ratus juta rupiah):

The acguisition value of 1 (one) unit of the Vessel
is Rp2.800.000.000,00 (two  billion  eight
hundred million rupiahs),

Sumber pendanaan OTSI untuk pembelian Kapal
sebesar 100”9 (seratus persen) berasal dari
keuangan internal.
OTSI 's source of funding for the purchase of the
Vessel is 10046 (one hundred percent) from
internal financing.

. Pembeli atas Kapal yaitu OTSI merupakan

entitas anak Perseroan dan perusahaan terkendali
Perseroan dengan kepemilikan langsung
sebanyak 99,94 (sembilan puluh sembilan koma
sembilan persen) saham,

The buyer of the Vessel is OTSI, is a subsidiary
of the Company and a controlled company of the
Company with direct ownership of 99.946 (ninety
nine point nine percent) shares,

merupakan Transaksi Afiliasi
sebagaimana didefinisikan di dalam Peraturan
Otoritas Jasa Keuangan No. 42/POJK.04/2020
tentang Transaksi Afiliasi dan Benturan
Kepentingan (“POJK 42”), karena dilakukan di
antara dua Perusahaan, yang berdasarkan
ketentuan Pasal 1 angka 1 Undang-Undang No.
8 Tahun 1995 tentang Pasar Modal (“UUPM”),
dikategorikan sebagai afiliasi:

The Transaction is an Affiliated Transaction as
defined in the Financial Services Authority
Regulation No. 42/POJK.04/2020 concerning

Affiliated Transactions and Conflicts of Interest
(“POJK 42”), because it is carried out between
two companies, which is based on the provisions
of Article 1 number 1 of Law no. 8 of 1995
concerning the Capital Market (“UUPM"), are
categorized as affiliates,

Berdasarkan ketentuan Pasal 12 POJK 42,
Perseroan tidak wajib memenuhi ketentuan
dalam Pasal 11, karena transaksi dilakukan oleh
Perseroan dengan Perusahaan terkendali yang
sahamnya dimiliki paling sedikit 99Y6 dari modal
disetor perusahaan terkendali.

Based on the provisions of Article 12 POJK 42,
the Company is not reguired to fulfill the
provisions in Article 11, because the transaction
is carried out by the Company with a controlled
company whose shares are owned by at least
9910 of the paid-up capital of the controlled
company.

. Penjualan Kapal Perseroan kepada OTSI
bertujuan untuk pengembangan usaha OTSI di
masa yang akan datang, diharapkan dengan
penjualan Kapal Perseroan kepada OTSI tersebut
dapat menciptakan sinergi yang saling
mendukung atau menguatkan dalam upaya untuk
meningkatkan nilai Perusahaan dan memberikan
kontribusi positif bagi para pemegang saham dan
pemangku kepentingan.

The sale of the company's Vessel to OTSI is
intended to facilitate the growth of OTSI'
business operations in the future. It is anticipated
that the sale of the Company 's Vessel to OTSI
will result in the creation of synergies that will
enhance the value of the company and provide a
positive return to shareholders and stakeholders.
