TATA TERTIB
RAPAT UMUM PEMEGANG SAHAM TAHUNAN
DAN
RAPAT UMUM PEMEGANG SAHAM LUAR BIASA
PT CATUR SENTOSA ADIPRANA Tbk (“Perseroan”)
Kamis, 25 Juni 2026
I. Ketentuan Umum
1. Rapat Umum Pemegang Saham Tahunan (“RUPST”) dan Rapat Umum Pemegang Saham Luar
Biasa (“RUPSLB”) (RUPST dan RUPSLB selanjutnya disebut “Rapat”) ini akan diselenggarakan
dalam Bahasa Indonesia.
2. Pemegang saham atau kuasa pemegang saham yang hendak menghadiri Rapat secara fisik
namun datang setelah registrasi Rapat ditutup, tidak dapat mengikuti Rapat dan suaranya tidak
dihitung dan/atau tidak dapat mengajukan pertanyaan atau pendapat dalam Rapat.
II. Kuorum Kehadiran Rapat
Untuk RUPST, berlaku ketentuan sebagai berikut :
- Untuk Mata Acara ke-1 hingga Mata Acara ke-4 dan ke-6, berlaku ketentuan sebagaimana diatur
dalam :
- Pasal 86 ayat 1 Undang-Undang Nomor 40 Tahun 2007 (“UUPT”);
- Pasal 41 ayat 1 huruf a Peraturan Otoritas Jasa Keuangan Nomor 15/POJK.04/2020 tentang
Rencana dan Penyelenggaraan Rapat Umum Pemegang Saham Perusahaan Terbuka (“POJK
15/2020”);
- Pasal 23 ayat 1 huruf a (i) Anggaran Dasar Perseroan;
yaitu Rapat adalah sah dan dapat dilangsungkan serta mengambil keputusan yang mengikat
apabila para pemegang saham Perseroan yang mewakili lebih dari 1/2 (satu per dua) bagian dari
jumlah seluruh saham yang telah dikeluarkan oleh Perseroan dengan hak suara yang sah hadir
dan/atau diwakili dalam Rapat.
Untuk Mata Acara ke-5, berlaku ketentuan sebagaimana diatur dalam :
- Pasal 89 ayat 1 UUPT;
- Pasal 43 huruf a POJK 15/2020;
- Pasal 23 ayat 1 huruf b (i) Anggaran Dasar Perseroan;
yaitu Rapat adalah sah dan dapat dilangsungkan serta mengambil keputusan yang mengikat
apabila para pemegang saham Perseroan yang mewakili paling sedikit 3/4 (tiga per empat) bagian
dari jumlah seluruh saham yang telah dikeluarkan oleh Perseroan dengan hak suara yang sah
hadir dan/atau diwakili dalam Rapat.
Untuk RUPSLB, berlaku ketentuan sebagaimana diatur dalam :
- Pasal 89 ayat 1 UUPT;
- Pasal 43 huruf a POJK 15/2020;
- Pasal 23 ayat 1 huruf b (i) Anggaran Dasar Perseroan;
yaitu Rapat adalah sah dan dapat dilangsungkan serta mengambil keputusan yang mengikat apabila
para pemegang saham Perseroan yang mewakili paling sedikit 3/4 (tiga per empat) bagian dari jumlah
seluruh saham yang telah dikeluarkan oleh Perseroan dengan hak suara yang sah hadir dan/atau
diwakili dalam Rapat.

III. Proses Penyampaian Pertanyaaan dan/atau Pendapat :
1. Pemegang saham atau kuasanya yang hadir secara fisik dapat mengajukan pertanyaan dan/atau
pendapat dengan ketentuan sebagai berikut :
a) diajukan secara tertulis dengan mengisi formulir yang dibagikan kepada pemegang saham
atau kuasanya sebelum memasuki ruangan Rapat yang diisi dengan nama pemegang
saham, jumlah saham yang dimiliki/diwakili, alamat email, serta pertanyaan dan/atau
pendapat yang diajukan; dan
b) diajukan pada saat Pimpinan Rapat memberikan kesempatan kepada para pemegang
saham atau kuasanya sebelum diadakannya pemungutan suara mengenai hal yang
bersangkutan, dengan cara mengangkat tangan dan menyerahkan formulir tersebut kepada
petugas Rapat.
2. Pemegang saham atau kuasanya yang hadir secara elektronik dapat mengajukan pertanyaan
dan/atau pendapat secara elektronik dengan ketentuan sebagai berikut :
a) Pertanyaan dan/atau pendapat diajukan secara tertulis melalui fitur chat pada kolom
“Electronic Opinions” yang tersedia di layar E-Meeting Hall di aplikasi eASY.KSEI, selama
kolom ‘General Meeting Flow Text’ masih tertulis “Discussion started for agenda item no. [ ]”.
Perseroan akan menonaktifkan fitur “raise hand” dan “allow to talk” dalam webinar Zoom
pada fasilitas AKSes.
b) Pada saat mengajukan pertanyaan, pemegang saham atau kuasanya wajib menuliskan
nama pemegang saham, jumlah saham yang dimiliki/diwakili, dan alamat email pemegang
saham.
3. Hanya pemegang saham atau kuasanya yang sah yang hadir secara fisik maupun elektronik
dalam Rapat berhak untuk mengajukan pertanyaan dan/atau pendapat secara tertulis tentang
mata acara Rapat yang sedang dibicarakan.
4. Perseroan berhak untuk tidak menjawab pertanyaan yang tidak mencantumkan nama pemegang
saham dan jumlah saham yang dimiliki/diwakili.
5. Pertanyaan dan/atau pendapat yang diajukan harus berhubungan langsung dengan mata acara
Rapat yang sedang dibicarakan.
6. Untuk memberikan kesempatan yang sama kepada semua pemegang saham, maka setiap
pemegang saham atau kuasanya yang hadir secara fisik maupun elektronik, dapat
menyampaikan maksimal 2 (dua) pertanyaan dan/atau pendapat.
7. Sesi tanya jawab dibatasi selama maksimum 10 menit untuk tiap mata acara Rapat.
8. Jika diajukan beberapa pertanyaan mengenai materi yang sama, maka pertanyaan-pertanyaan
tersebut akan dijawab secara sekaligus.
9. Perseroan akan sedapat mungkin menjawab pertanyaan sesuai dengan urutan pertanyaan yang
masuk.
10. Agar Rapat lebih efektif dan efisien, maka Pimpinan Rapat berhak untuk menentukan akan
menanggapi pertanyaan secara langsung (lisan) atau secara tertulis.
11. Pertanyaan yang belum ditanggapi secara langsung (lisan) akan ditanggapi secara tertulis dalam
waktu 3 (tiga) hari kerja setelah tanggal Rapat. Perseroan akan mengirimkan tanggapan ke
alamat email yang dicantumkan oleh pemegang saham atau kuasanya di formulir pertanyaan
atau di fitur chat pada kolom “Electronic Opinions” yang tersedia di layar E-Meeting Hall di
aplikasi eASY.KSEI. Apabila pemegang saham atau kuasanya tidak mencantumkan alamat email
maka jawaban Perseroan akan dikirimkan melalui surat ke alamat pemegang saham yang
tercantum dalam Daftar Pemegang Saham Perseroan.
IV. Proses Pemungutan dan Penghitungan Suara :
1. Penghitungan suara akan dilakukan dengan mengacu pada ketentuan Undang-Undang
Perseroan Terbatas, POJK 15/2020, Peraturan Otoritas Jasa Keuangan Nomor 14 Tahun 2025
tentang Pelaksanaan Rapat Umum Pemegang Saham, Rapat Umum Pemegang Obligasi, Dan
Rapat Umum Pemegang Sukuk Secara Elektronik dan Anggaran Dasar Perseroan, yaitu sebagai
berikut :
a) Keputusan Rapat diambil berdasarkan musyawarah untuk mufakat;
b) Dalam hal keputusan berdasarkan musyawarah untuk mufakat tidak tercapai, maka
keputusan diambil dengan pemungutan suara. Pemegang saham atau kuasa pemegang
saham mempunyai hak untuk memberikan suara SETUJU, suara TIDAK SETUJU atau
suara ABSTAIN terhadap setiap mata acara Perseroan;

c) Keputusan atas usul yang diajukan dalam :
(i) Mata Acara ke-1 hingga Mata Acara ke-4 dan ke-6 RUPST adalah sah jika disetujui
oleh lebih dari 1/2 (satu per dua) bagian dari jumlah suara yang hadir dan/atau
diwakili dalam Rapat;
(ii) Mata Acara ke-5 RUPST adalah sah jika disetujui oleh lebih dari 3/4 (tiga per empat)
bagian dari jumlah suara yang hadir dan/atau diwakili dalam Rapat;
(iii) RUPSLB adalah sah jika disetujui oleh lebih dari 3/4 (tiga per empat) bagian dari
jumlah suara yang hadir dan/atau diwakili dalam Rapat;
d) Sesuai dengan Pasal 47 POJK 15/2020, suara ABSTAIN dianggap mengeluarkan suara
yang sama dengan suara mayoritas pemegang saham yang mengeluarkan suara.
2. Pemungutan suara bagi pemegang saham atau kuasanya yang hadir secara fisik dalam Rapat
dilakukan dengan tata cara sebagai berikut :
a) Pimpinan Rapat akan meminta pemegang saham atau kuasanya yang TIDAK SETUJU atau
ABSTAIN terhadap usul yang diajukan untuk mengangkat tangan dan menyerahkan surat
suara kepada petugas Rapat;
b) Bagi kuasa pemegang saham yang telah menerima kuasa dengan pilihan suara melalui
aplikasi eASY.KSEI, suara yang akan dihitung adalah suara yang diberikan oleh pemegang
saham melalui aplikasi eASY.KSEI, dengan demikian kuasa pemegang saham terkait tidak
perlu mengangkat tangan dan menyerahkan surat suara kepada petugas Rapat;
c) Pemegang saham atau kuasa pemegang saham yang tidak mengangkat tangan untuk
menyerahkan surat suara TIDAK SETUJU atau ABSTAIN terhadap usul yang diajukan,
dianggap menyetujui usul yang diajukan tanpa Pimpinan Rapat perlu meminta kepada para
pemegang saham atau kuasa pemegang saham tersebut untuk mengangkat tangan masing-
masing sebagai tanda setuju;
d) Pemegang saham atau kuasa pemegang saham yang telah mendaftarkan diri namun
meninggalkan ruang Rapat dan tidak melaporkan hal tersebut kepada petugas pendaftaran
sebelum Rapat selesai, dianggap hadir dan menyetujui usul yang diajukan dalam Rapat.
3. Pemungutan suara bagi pemegang saham atau kuasanya yang hadir secara elektronik melalui
aplikasi eASY.KSEI dilakukan dengan tata cara sebagai berikut :
a) Proses pemungutan suara berlangsung di aplikasi eASY.KSEI pada menu E-Meeting Hall,
sub menu Live Broadcasting;
b) Pemegang saham yang hadir atau telah memberikan kuasa secara elektronik dalam Rapat
melalui aplikasi eASY.KSEI, namun belum menetapkan pilihan suara, maka pemegang
saham atau kuasanya tersebut memiliki kesempatan untuk menyampaikan pilihan suaranya
selama masa pemungutan suara dibuka oleh Perseroan melalui layar E-Meeting Hall di
aplikasi eASY.KSEI;
c) Selama proses pemungutan suara secara elektronik berlangsung akan terlihat status “Voting
for agenda item no [ ] has started” pada kolom ‘General Meeting Flow Text’;
d) Pemungutan suara langsung secara elektronik melalui aplikasi eASY.KSEI dialokasikan
maksimal selama 2 (dua) menit;
e) Pemegang saham yang telah memberikan suaranya sebelum Rapat dimulai dan pemegang
saham atau kuasanya yang telah melakukan registasi melalui aplikasi eASY.KSEI pada
tanggal pelaksanaan Rapat akan dianggap sah menghadiri Rapat walaupun tidak mengikuti
jalannya Rapat sampai akhir karena alasan apapun;
f) Apabila pemegang saham atau kuasanya tidak memberikan pilihan suara hingga status
pelaksanaan Rapat yang terlihat pada kolom ‘General Meeting Flow Text’ berubah menjadi
“Voting for agenda item no [ ] has ended”, maka pemegang saham atau kuasanya tersebut
akan dianggap memberikan suara ABSTAIN untuk mata acara Rapat yang bersangkutan.
4. Selanjutnya suara yang diberikan oleh pemegang saham atau kuasanya baik secara fisik
maupun elektronik akan dihitung oleh Biro Administrasi Efek Perseroan dan kemudian diverifikasi
oleh Notaris selaku pejabat umum yang independen.
5. Pimpinan Rapat akan meminta Notaris menginformasikan hasil perhitungan suara untuk setiap
mata acara Rapat.
V. Penayangan Siaran Langsung Rapat
1. Pemegang saham atau kuasanya yang telah terdaftar di aplikasi eASY.KSEI paling lambat
tanggal 24 Juni 2026 pukul 12.00 WIB dapat menyaksikan pelaksanaan Rapat yang sedang
berlangsung melalui webinar Zoom (“Tayangan RUPS”) dengan mengakses aplikasi eASY.KSEI.

2. Bagi pemegang saham atau kuasanya yang tidak mendapatkan kesempatan untuk menyaksikan
pelaksanaan Rapat melalui Tayangan RUPS tetap dianggap sah hadir secara elektronik serta
kepemilikan saham dan pilihan suaranya diperhitungkan dalam Rapat, sepanjang kehadirannya
dalam Rapat telah teregistrasi dalam aplikasi eASY.KSEI.
3. Pemegang saham yang hanya menyaksikan Rapat melalui Tayangan RUPS, namun tidak
mendeklarasikan kehadirannya pada aplikasi eASY.KSEI, maka yang bersangkutan tidak akan
diperhitungkan dalam kuorum kehadiran Rapat.
4. Untuk mendapatkan pengalaman terbaik dalam menggunakan aplikasi eASY.KSEI dan/atau
Tayangan RUPS, pemegang saham atau kuasanya disarankan menggunakan peramban
(browser) Mozilla Firefox.
VI. Lain-lain
Selama Rapat berlangsung, bagi pemegang saham atau kuasanya yang hadir secara fisik mohon
agar :
a. telepon genggam dan/atau alat komunikasi lainnya di non-aktifkan atau mengatur ke posisi diam
atau “silent”;
b. tidak melakukan pembicaraan dengan sesama peserta Rapat agar tidak mengganggu jalannya
Rapat;
c. tidak memotong/menyela pembicaraan orang lain.
d. tetap berada di ruang Rapat setelah RUPST ditutup karena akan segera dilanjutkan dengan
RUPSLB.

MEETING RULES
ANNUAL GENERAL MEETING OF SHAREHOLDERS
AND
EXTRAORDINARY GENERAL MEETING OF SHAREHOLDERS
OF
PT CATUR SENTOSA ADIPRANA Tbk (“Company”)
Thursday, June 25, 2026
I. General Provisions
3. The Annual General Meeting of Shareholders ("AGMS") and the Extraordinary General Meeting
of Shareholders ("EGMS") (hereinafter collectively referred to as the "Meeting") will be held in
Indonesian language.
4. Shareholders or shareholders’ proxies who wish to attend the Meeting physically but arrive after
registration for the Meeting has closed, are not permitted to attend the Meeting and their votes
will not be counted and/or they cannot ask questions or opinions at the Meeting.
II. Meeting Attendance Quorum
For the AGMS, the following provisions shall apply :
- For Agenda Items 1 to 4 and Item 6, the applicable provisions are :
- Article 86 paragraph 1 of Law Number 40 of 2007 ("the Company Law ");
- Article 41 paragraph 1 letter a Financial Services Authority Regulation Number 15/POJK.04/2020
concerning Planning and Implementation of the General Meeting of Shareholders of Public
Companies (" POJK 15/2020 ");
- Article 23 paragraph 1 letter a of the Company's Articles of Association;
namely, the Meeting is valid and can be held and can adopt binding resolutions if the Company's
shareholders representing more than 1/2 (one-half) of the total number of shares issued by the
Company with valid voting rights are present and/or represented in the Meeting.
- For Agenda Items 5, the applicable provisions are :
- Article 89 paragraph 1 of the Company Law;
- Article 43 letter a of POJK 15/2020;
- Article 23 paragraph 1 letter b (i) Company's Articles of Association;
namely, the Meeting is valid and can be held and can adopt binding resolutions if the Company's
shareholders representing at least 3/4 (three-fourths) of the total number of shares issued by the
Company with valid voting rights are present and/or represented in the meeting.
For EGMS, the following provisions shall apply :
-Article 89 paragraph 1 of the Company Law;
-Article 43 letter a of POJK 15/2020;
-Article 23 paragraph 1 letter b (i) Company's Articles of Association;
namely, the Meeting is valid and can be held and can adopt binding resolutions if the Company's
shareholders representing at least 3/4 (three-fourths) of the total number of shares issued by the
Company with valid voting rights are present and/or represented in the meeting.
V. Questions and/or Opinions Submission Procedure :
1. Shareholders or their proxies who are physically present can ask questions and/or opinions under
the following conditions:
a) submitted in writing by filling in a form distributed to shareholders or their proxies before
entering the Meeting room, filling in the name of the shareholder, number of shares
owned/represented, email address, as well as the questions and/or opinions submitted; and
b) submitted when the Chairman of the Meeting gives the shareholders or their proxies an
opportunity before voting on the matter concerned, by raising their hands and submitting the
form to the Meeting officer.

2. Shareholders or their proxies who are electronically present can submit questions and/or opinions
electronically under the following conditions :
a) Questions and/or opinions are submitted in writing via the chat feature in the "Electronic
Opinions" column available on the E-Meeting Hall screen in the eASY.KSEI application, as
long as the 'General Meeting Flow Text' column still states "Discussion started for agenda
item no. [ ]”.
The Company will disable the “raise hand ” and “allow to talk ” features in Zoom webinars at
AKSes facilities.
b) When asking questions, shareholders or their proxies are required to write down the name of
the shareholder, the number of shares owned/represented, and the shareholder's email
address.
3. Only shareholders or their legitimate proxies who are physically or electronically at the Meeting
have the right to ask questions and/or opinions in writing regarding the Meeting agenda item
being discussed.
4. The Company has the right not to answer questions that do not include the name of the
shareholder and the number of shares owned/represented.
5. Questions and/or opinions submitted must be directly related to the Meeting agenda being
discussed.
6. To provide equal opportunities to all shareholders, each shareholder or their proxies who are
physically or electronically present can submit a maximum of 2 (two) questions and/or opinions.
7. The question-and-answer session is limited to a maximum of 10 minutes for each agenda item of
the Meeting.
8. If several questions regarding the same material are submitted, these questions will be answered
at once.
9. The Company will make every effort to answer questions in the order in which they are received.
10. To ensure the Meeting is effective and efficient, the Chairman of the Meeting has the right to
decide whether to respond to questions directly (verbally) or in writing.
11. Questions that have not been responded to directly (verbally) will be responded to in writing
within 3 (three) business days after the Meeting date. The Company will send the response to the
email addresses provided by shareholders or their proxies in the inquiry form or in the chat
feature under the " Electronic Opinions " column available on the E-Meeting Hall screen in the
eASY.KSEI application. If the shareholder or their proxy does not provide an email address, the
Company's response will be sent by mail to the shareholder's address listed in the Company's
Register of Shareholders.
VI. Voting and Vote Counting Procedure :
1. Vote counting will be carried out in accordance with the provisions of the Company Law, POJK
15/2020, Financial Services Authority Regulation Number 14 of 2025 concerning the
Implementation of Electronic General Meetings of Shareholders, General Meetings of
Bondholders, And General Meeting of Sukuk Holders and the Company's Articles of Association,
as follows :
a) Meeting resolutions are adopted based on deliberation to reach consensus;
e) In the event that a resolution based on deliberation to reach consensus is not reached, the
resolution is adopted by voting. Shareholders or their proxies have the right to cast AGREE
vote, DISAPPROVE vote or ABSTAIN vote on each agenda item of the Company;
f) Resolutions on the proposal submitted on :
(iv) The 1st to 4th and 6th agenda items at the AGMS are valid if they are approved by more
than 1/2 (one-half) of the total number of votes present and/or represented at the
Meeting;
(v) The 5th agenda item at the AGMS is valid if it is approved by more than 3/4 (three-
fourths) of the total number of votes present and/or represented at the Meeting;
(vi) The EGMS is valid if it is approved by more than 3/4 (three-fourths) of the total
number of votes present and/or represented at the Meeting;
g) In accordance with Article 47 of POJK 15/2020, an ABSTAIN vote is considered to cast the
same vote as the majority of shareholders who vast their votes.
2. Voting for shareholders or their proxies who are physically present at the Meeting is carried out
using the following procedures :

a) The Chairman of the Meeting will ask shareholders or their proxies who DISAPPROVE or
ABSTAIN with the proposed proposal to raise their hands and submit their ballot papers to
the Meeting officer;
b) For proxies of shareholders who have received proxies with voting options via the
eASY.KSEI application, the votes that will be counted are the votes cast by the shareholders
via the eASY.KSEI application, so that the relevant shareholders' proxies do not need to
raise their hands and submit ballot papers to the Meeting officers;
c) Shareholders or shareholders' proxies who do not raise their hands to submit a vote of
DISAPPROVE or ABSTAIN to the proposed proposal, are deemed to have agreed to the
proposed proposal without the Chairman of the Meeting needing to ask the shareholders or
shareholders' proxies to raise their respective hands as a sign of an agreement;
d) Shareholders or shareholders' proxies who have registered but leave the Meeting room and
do not report this matter to the registration officer before the Meeting ends shall be deemed
present and to have approved the proposals submitted at the Meeting.
3. Voting for shareholders or their proxies who electronically attend via the eASY.KSEI application is
carried out using the following procedures :
a) The voting process takes place in the eASY.KSEI application in the E-Meeting Hall menu,
Live Broadcasting sub menu;
b) Shareholders who are present or have provided electronic power of attorney at the Meeting
via the eASY.KSEI application, but have not yet determined their vote choice, will have the
opportunity to cast their vote during the voting period opened by the Company via the E-
Meeting Hall screen in eASY.KSEI application;
c) During the electronic voting process, you will see the status "Voting for agenda item no [] has
started” in the 'General Meeting Flow Text' column;
d) Direct electronic voting via the eASY.KSEI application is allocated for a maximum of 2 (two)
minutes;
e) Shareholders who have cast their votes before the Meeting begins and shareholders or their
proxies who have registered via the eASY.KSEI application on the date of the Meeting will
be considered to have validly attend the Meeting even if they do not participate until the end
of the Meeting for any reason;
f) If a shareholder or their proxy does not vote by the time the status of the Meeting, as
displayed in the 'General Meeting Flow Text' column, changes to "Voting for agenda item no
[] has ended”, then the shareholder or their proxy shall be deemed to have cast an ABSTAIN
vote for the relevant Meeting agenda item.
4. Furthermore, the votes cast by shareholders or their proxies, both physically and electronically,
will be counted by the Company's Securities Administration Bureau and then verified by a Notary
as an independent public official.
5. The Chairman of the Meeting will ask the Notary to inform the results of the vote count for each
Meeting agenda item.
V. Live Broadcast of the Meeting
5. Shareholders or their proxies who have registered in the eASY.KSEI application no later than
June 24, 2026 at 12.00 WIB can watch the ongoing Meeting via Zoom webinar ("GMS
Broadcast") by accessing the eASY.KSEI application.
6. Shareholders or their proxies who do not have the opportunity to witness the implementation of
the Meeting via the GMS Broadcast are still considered legally present electronically and their
share ownership and vote choices will be counted in the Meeting, provided that their attendance
at the Meeting has been registered in the eASY.KSEI application.
7. Shareholders who only watch the Meeting via the GMS Broadcast, but do not declare their
presence in the eASY.KSEI application, will not be counted in the Meeting attendance quorum.
8. To get the best experience when using the eASY.KSEI application and/or GMS broadcasts,
shareholders or their proxies are advised to use the Mozilla Firefox browser.
VI. Miscellaneous
During the Meeting, shareholders or their proxies who are physically present are requested to :
e. turn off their mobile phones and/or other communication devices, or set them to silent mode;
f. refrain from discussions with other Meeting participants to avoid disrupting the proceedings of the
Meeting;

g. avoid interrupting/speaking over others;
h. Remain in the Meeting room after the AGMS is closed because it will immediately be followed by
the EGMS.
