PT Transcoal Pacific Tbk (Perseroan) telah menandatangani
Perjanjian Pembangunan Pusher Barge Baru pada tanggal 22
Agustus 2024.
Uraian Informasi atau Fakta Material
Jenis Aset
Pembangunan 2 (dua) unit Pusher Barge baru.
Nilai Transaksi
Estimasi Nilai transaksi dengan harga SGD 9.500.000
(sembilan juta lima ratus ribu Singapore Dollar).
Pihak-pihak yang bertransaksi
a. Pihak Pembeli adalah Perseroan; dan
b. Pihak Pembangun adalah salah satu perusahaan
pembuatan kapal yang didirikan berdasarkan ketentuan
hukum yang berlaku di Negara Republik Indonesia,
berkedudukan di Karimun, Kepulauan Riau.
Penjelasan ada tidaknya hubungan afiliasi dengan Pihak
Pembangun
Transaksi ini bukan merupakan transaksi afiliasi karena tidak
ada hubungan afiliasi antara Perseroan dan Pihak
Pembangun.
Sumber Pendanaan
Sumber pendanaan pembelian adalah 80% berasal dari salah
satu bank dan sisanya berasal dari keuangan internal.
Dampak kejadian, informasi atau fakta Dampak Kejadian, Informasi atau Fakta Material terhadap:
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan, Kegiatan Operasional
atau kelangsungan usaha Emiten atau Berdampak positif terhadap kegiatan operasional Perseroan
Perusahaan Publik karena Perseroan akan mendapatkan armada baru untuk
mendukung pengangkutan kargo milik pelanggan Perseroan.
Hukum
Perseroan berkewajiban untuk melakukan pembayaran harga
sesuai dengan ketentuan yang diatur dalam Perjanjian.
Kondisi Keuangan
Diharapkan dengan beroperasinya 2 (dua) Pusher Baru
nantinya akan dapat meningkatkan pendapatan Perseroan.
Kelangsungan Usaha
Kelangsungan usaha tetap terjaga dan terjamin dengan baik.

Agreement For Building New Pusher Barge on August 22,
2024.

Type of Asset
Construction of 2 (two) units of new Pusher Barges.
Transaction Value
Estimated transaction value at SGD 9,500,000 (nine million
five hundred thousand Singapore Dollars).
Transaction parties
a. The Buyer is the Company; and
b. The Builder is a shipbuilding company established
under the laws of the Republic of Indonesia, domiciled in
Karimun, Kepulauan Riau.
Explanation whether there is any affiliated transaction
This transaction is not an affiliate transaction since se there is
no affiliate relationship between the Company and the Builder.
The Source of Funding
The source of funding for purchases is 80% from one of the
banks and the rest comes from internal finance.
