Uraian Informasi atau Fakta Material PT Telkom Indonesia (Persero) Tbk (TELKOM) memperkuat
fundamental bisnis melalui penataan portofolio dan
transformasi menjadi empat pilar: digital infrastructure,
integrated B2C service, B2B ICT service, dan Internasional.
Untuk memperkuat fundamental bisnis dan penataan portfolio
tersebut, TELKOM juga melakukan streamlining untuk portfolio
non-core yang saat ini dimiliki TELKOM, sehingga TELKOM ke
depan lebih fokus, lincah dan kompetitif di kancah global.
Sebagai bagian dari implementasi streamlining tersebut, pada
tanggal 2 Juni 2026, PT Multimedia Nusantara
(TELKOMMETRA) sebagai anak perusahaan yang
dikendalikan langsung oleh Telkom dan PT Metra Digital
investama Ventura (MDI), melepas seluruh kepemilikan
sahamnya di PT Administrasi Medika (Admedika).
Aksi korporasi ini dilakukan selain menyederhanakan portofolio
juga mendapatkan unlock value, serta mengikuti aspirasi PT
Danantara Asset Management (Persero) (DAM) dalam
penataan anak perusahaan (streamlining) di lingkungan
BUMN.
Selanjutnya, transaksi ini dilanjutkan dengan skema divestasi
penuh (100%) kepemilikan TelkomMetra dan MDI di
Admedika, melalui skema jual beli saham dengan Global
Assistance & Healthcare Singapore Pte. Ltd (FULLERTON).
sebagai Selected Purchaser, dengan uraian rangkaian
transaksi sebagai berikut:
Objek Rencana Transaksi
452.330 (Empat ratus lima puluh dua ribu tiga ratus tiga puluh)
lembar saham, atau sebesar 100% dari seluruh modal
ditempatkan dan disetor penuh dalam AdMedika.
Pihak Penjual
(i) TelkomMetra: Pemilik 99,99% saham (452.329 lembar
saham)
(ii) MDI: Pemilik 0,01% saham (1 lembar saham)

Global Assistance & Healthcare Singapore Pte, Ltd. (Fullerton)
Diharapkan dengan adanya aksi korporasi ini dapat
mendukung transformasi Telkom Group menuju Strategic
Holding serta memaksimalkan penciptaan nilai dari divestasi
Admedika.
Dampak kejadian, informasi atau fakta Aksi pengembangan bisnis non-organik ini memberikan
material tersebut terhadap kegiatan keuntungan bagi Telkom Group.

Description of Material Information or PT Telkom Indonesia (Persero) Tbk enhances its business
Facts fundamentals by restructuring its portfolio and transitioning into
four Strategic Holding pillars: Digital infrastructure, integrated
B2C service, B2B ICT service, and International.
To strengthen its business fundamentals and portfolio
restructuring, TELKOM is also streamlining its current non-core
portfolio, so that in the future TELKOM will be more focused,
agile, and competitive on the global stage.
As part of the implementation of this transformation, on June 2,
2026, PT Multimedia Nusantara (TelkomMetra), as a direct
subsidiary of Telkom, alongside PT Metra Digital Investama
Ventura (MDI), divested their entire shareholdings in PT
Administrasi Medika (AdMedika).
This corporate action was executed not only simplifying
portfolio, but also to unlock value, and align with PT Danantara
Asset Management Persero (DAM)s strategic aspirations
regarding subsidiary streamlining in State-Owned Enterprises.
Subsequently, this transaction proceeded through a
divestment scheme of TelkomMetra and MDIs entire
ownership in AdMedika Group through a Share Purchase
Arrangement (SPA) with Global Assistance & Healthcare
Singapore Pte, Ltd. (FULLERTON) as the Selected Purchaser.
The series of transactions detailed as follows:
1. Subject Shares
452.330 (Four hundred fifty two thousand three hundred thirty)
shares, or 100% of the entire capital injected in AdMedika
Group.
2. Seller
i. TelkomMetra: 99.9% Shareholder of AdMedika Group
(452.329 shares)
ii. MDI: 0.01% Shareholder of AdMedika Group (1
share)
3. Purchaser
Global Assistance & Healthcare Singapore Pte, Ltd. (Fullerton)
This corporate action is expected to support Telkom Group s
ongoing transformation to be a Strategic Holding and to
maximize value creation from the divestment of AdMedika
Group.
