Uraian Informasi atau Fakta Material 1. PT Foresight Global (Pemohon PKPU) telah mengajukan
Permohonan Penundaan Kewajiban Pembayaran Utang
(PKPU) terhadap Perseroan (Termohon PKPU) dengan
register perkara No. 74/Pdt.Sus-PKPU/2024/PN.Niaga.Jkt.Pst
tanggal 29 Februari 2024 dan telah dibacakan putusannya
pada tanggal 15 Agustus 2024.
2. Majelis Hakim Pengadilan Niaga pada Pengadilan Negeri
Jakarta Pusat telah menjatuhkan putusan yang pada intinya
menyatakan sah dan mengikat secara hukum Perjanjian
Perdamaian tanggal 07 Agustus 2024 yang telah
ditandatangani oleh Debitor/Termohon PKPU dan Para
Kreditor, menyatakan Penundaan Kewajiban Pembayaran
Utang PT Indofarma (Dalam PKPU) demi hukum berakhir, dan
menghukum Debitor/Termohon PKPU dan Para Kreditor untuk
tunduk dan memenuhi serta melaksanakan isi Perjanjian
Perdamaian.
Dampak kejadian, informasi atau fakta Adanya Putusan PKPU ini tidak berdampak secara langsung
material tersebut terhadap kegiatan pada operasional Perseroan. Perseroan akan tetap beroperasi
operasional, hukum, kondisi keuangan, sebagaimana biasanya dengan tetap berkoordinasi dengan
atau kelangsungan usaha Emiten atau Tim Pengurus yang ditunjuk Pengadilan sesuai ketentuan
Perusahaan Publik peraturan perundang-undangan, Perseroan akan melakukan
upaya restrukturisasi atas utang-utang kepada Kreditor
dengan sesuai dengan going concern yang menjadi
pertimbangan dalam program restrukturisasi secara
menyeluruh, meliputi restrukturisasi penyelesaian kewajiban
masa lalu, dukungan finansial, restrukturisasi organisasi dan
human capital, perubahan portofolio bisnis, serta optimalisasi
aset.

Submission of Incidental Reports on Decisions in Cases of

Fulfillment of Information Submission Obligations
Description of Material Information or 1. PT Foresight Global (PKPU Applicant) has submitted an
Facts Application for Postponement of Debt Payment Obligations
(PKPU) against the Company (PKPU Respondent) with case
registration No. 74/Pdt.Sus-PKPU/2024/PN.Niaga.Jkt.Pst
dated 29 February 2024 and the decision was read out on 15
August 2024.
2. The Panel of Judges at the Commercial Court at the Central
Jakarta District Court has handed down a decision which in
essence declares the Peace Agreement valid and legally
binding dated 07 August 2024 which was signed by the PKPU
Debtor/Respondent and the Creditors, stating the Suspension
of PT Indofarma's Debt Payment Obligations (In PKPU) by law
ends, and punishes the PKPU Debtor/Respondent and
Creditors to submit to and fulfill and implement the contents of
the Peace Agreement.
Impact of event, material information or This PKPU Decision does not have a direct impact on the
facts towards Issuers or Public Company's operations. The Company will continue to operate
Company’s operational activities, legal, as usual while continuing to coordinate with the Management
financial condition, or going concern Team appointed by the Court in accordance with the
provisions of statutory regulations. The Company will carry out
efforts to restructure its debts to Creditors in accordance with
going concerns which are taken into consideration in the
overall restructuring program, including settlement
restructuring. past obligations, financial support, organizational
and human capital restructuring, business portfolio changes,
and asset optimization.
