Sehubungan dengan rencana pelaksanaan Rapat Umum Pemegang Saham Luar Biasa Kedua
(“RUPSLB”) PT Modernland Realty Tbk. (“Perseroan”) yang akan diselenggarakan pada:

Dengan Agenda RUPSLB sebagai berikut:
Persetujuan atas rencana pengalihan atau pemindahtanganan dan/atau menjadikan jaminan asset
atau kekayaan Perseroan yang merupakan lebih dari 50% (lima puluh persen) jumlah kekayaan bersih
Perseroan dalam 1 (satu) transaksi atau lebih, baik yang berkaitan satu sama lain maupun tidak, yang
pelaksanaannya akan dilakukan sesuai dengan peraturan yang berlaku.
Berikut ini adalah Penjelasan Agenda RUPSLB:
Persetujuan atas rencana pengalihan atau pemindahtanganan aset atau kekayaan Perseroan dan/atau
menjadikan jaminan aset atau kekayaan Perseroan, yang merupakan lebih dari 50% (lima puluh
persen) jumlah kekayaan bersih Perseroan dalam 1 (satu) transaksi atau lebih, baik yang berkaitan
satu sama lain maupun tidak, diperlukan sehubungan dengan rencana Perseroan untuk melakukan
transaksi yang memenuhi kriteria sebagaimana dimaksud dalam ketentuan peraturan perundang-
undangan yang berlaku (termasuk namun tidak terbatas pada UU 40 tahun 2007 tentang Perseroan
Terbatas dan Peraturan OJK No. 15 /POJK.04/2020 tentang Rencana dan Penyelenggaraan Rapat
Umum Pemegang Saham Perusahaan Terbuka), sehingga diperlukan persetujuan RUPSLB.

Regarding the second Extraordinary General Meeting of Shareholders (“EGMS”) PT Modernland Realty
Tbk. (the ”Company”) that will be held on:

Time : 10:00 a.m. WIB until completion
Venue : Club House Jakarta Garden City
Jl. Raya Cakung Timur, Kecamatan Cakung
Jakarta 13910 Indonesia
With the following Agenda EGMS:
Approval of the proposed transfer or disposal and/or encumbrance as security of the Company’s assets
or assets constituting more than 50% (fifty percent) of the Company’s net assets in 1 (one) transaction
or more, whether related to one another or not, the implementation of which shall be carried out in
accordance with the prevailing laws and regulations.
Here below are the explanations of EGMS agenda:
The approval of the proposed transfer or disposal of the Company’s assets and/or the encumbrance of
the Company’s assets as security, constituting more than 50% (fifty percent) of the Company’s net
assets in 1 (one) transaction or more, whether related to one another or not, is required in connection
with the Company’s plan to carry out transactions that meet the criteria as stipulated under the prevailing
laws and regulations, including but not limited to Law No. 40 of 2007 concerning Limited Liability
Companies and Financial Services Authority Regulation No. 15/POJK.04/2020 concerning the Planning
and Implementation of General Meetings of Shareholders of Public Companies, and therefore require
the approval of the EGMS.
