We, PT Mega Manunggal Property Tbk (“Company”) hereby would like to submit the Disclosure of Material Fact or Information

Change of the Controlling Shareholder of the Company.

Description of Information
Merujuk pada surat pemberitahuan dari PT Suwarna Arta Mandiri (“SAM”)
kepada Perseroan bahwa pada tanggal 9 Agustus 2024 SAM telah
menyelesaikan pembelian saham milik Perseroan sebanyak
1.780.764.558 (satu miliar tujuh ratus delapan puluh juta tujuh ratus enam
puluh empat ribu lima ratus lima puluh delapan) atau setara dengan
25,854 (dua puluh lima koma delapan lima persen) dari modal
ditempatkan dan disetor Perseroan.
Referring to the notification letter from PT Suwarna Arta Mandiri ("SAM")
to the Company that on 9 August 2024, SAM has completed the purchase
of shares belonging to the Company amounting to 1,780,764,558 (one
billion seven hundred eighty million seven hundred sixty fourthousand five
hundred five twenty eight) or eguivalent to 25.8596 (twenty five point eight
five percent) of the issued and paid up capital of the Company.

Penyelesaian transaksi merupakan tindak lanjut dari Penawaran Tender
Sukarela yang dilakukan SAM atas saham Perseroan sejak tanggal 2 Juli
2024 sampai dengan 31 juli 2024 (“Masa Penawaran"), sehingga total
kepemilikan saham milik SAM setelah menyelesaikan transaksi ini
sebanyak 3.391.869.858 (tiga miliar tiga ratus sembilan puluh satu juta
delapan ratus enam puluh sembilan ribu delapan ratus lima puluh delapan)
atau setara dengan 49,24/4 (empat puluh sembilan koma dua empat
persen) dari modal ditempatkan dan disetor Perseroan.
The completion of the transaction is a follow-up to the Voluntary Tender
Offer by SAM forthe Company's shares from 2 July 2024 to 31 July 2024
("Offering Period”), so that SAM total share ownership after completing this
transaction is 3,391,869,858 (three billion three hundred ninety one million
eight hundred sixty nine thousand eight hundred fifty eight) or the
eguivalent of 49.249 (forty nine point two four percent) of the issued and
paid up capital of the Company.
Dengan demikian sejak tanggal 9 Agustus 2024 telah terjadi perubahan
pengendali saham di Perseroan dari sebelumnya dikendalikan oleh
Hungkang Sutedja, baik secara langsung maupun tidak langsung melalui
PT Mega Mandiri Properti, West Bridge Developments Limited, dan PT
Mega Cakrawala Properti, saat ini menjadi dikendalikan secara langsung
oleh SAM dan secara tidak langsung oleh PT Provident Investasi Bersama
Tbk (“PIB") sebagai pengendali SAM.
Thus, since 9 August 2024 there has been a change in controlling shares
in the Company from previously being controlled by Hungkang Sutedja,
either directly or indirectly through PT Mega Mandiri Properti, West Bridge
Developments Limited, and PT Mega Cakrawala Properti, to now being
controlled directly by SAM and indirectly by PT Provident Investasi
Bersama Tbk (“PIB”) as controller of SAM.
