Uraian Informasi atau Fakta Material Pada tanggal 2 Agustus 2024, anak-anak perusahaan
Perseroan yang secara langsung maupun tidak langsung
dimiliki 100% oleh Perseroan, yaitu PT Kalista Soter Hastia
("KSH") dan PT Kalista Nusa Armada ("KNA"), telah
mendirikan perusahaan yang bernama PT Kalista Biru
Nusantara ("KBN").
Pendirian KBN tersebut telah dinyatakan dalam Akta Pendirian
No. 81 tertanggal 24 Juli 2024 yang dibuat di hadapan Ungke
Mulawanti, SH., M.Kn., Notaris di Bekasi dan telah
mendapatkan pengesahan sebagai badan hukum oleh Menteri
Hukum dan Hak Asasi Manusia Republik melalui Surat
Keputusan No. AHU-0058368.AH.01.01.TAHUN 2024 tanggal
2 Agustus 2024.
KBN akan melakukan kegiatan usaha aktivitas penyewaan
dan sewa guna usaha tanpa hak opsi alat transportasi darat
bukan kendaraan bermotor roda empat atau lebih mencakup
kegiatan penyewaan dan sewa guna usaha tanpa hak opsi
(operational leasing) semua jenis alat transportasi darat bukan
kendaraan bermotor roda empat atau lebih (mobil, bis, truk
dan sejenisnya) tanpa operatornya, seperti sepeda motor,
caravan, camper, railroad vehicle dan sejenisnya.
Keterangan mengenai struktur kepemilikan modal KBN adalah
sebagai berikut:
KSH Rp 6.249.000.000,- 99,98%
KNA Rp1.000.000,- 0,02%
Total Rp 6.250.000.000,- 100%

Dampak kejadian, informasi atau fakta Penyertaan saham KSH dan KNA dalam KBN merupakan

Description of Material Information or On 2 August 2024, the Company's subsidiaries which are
Facts 100% directly and indirectly owned by the Company, namely
PT Kalista Soter Hastia ("KSH") and PT Kalista Nusa Armada
("KNA"), have established a company namely PT Kalista Biru
Nusantara ("KBN").
Establishment of KBN had been stated through Deed of
Establishment No. 81 dated 24 July 2024, which was made
before Ungke Mulawanti, SH., M.Kn., Notary in Bekasi, and
ratified as a legal entity by the Ministry of Law and Human
Rights of Republic of Indonesia through Decree No. 0058368.
AH.01.01.TAHUN 2024 dated 2 August 2024.
KBN will conduct business activities for rental and lease-
purchase without option rights for land transportation
equipment not motorized vehicles with four or more wheels
including rental and lease-purchase activities without option
rights (operational leasing) for all types of land transportation
equipment not motorized vehicles with four or more wheels
(cars, buses, trucks and the like) without operators, such as
motorcycles, caravans, campers, railway vehicles and the like.
Details of the shareholding structure of KBN are as follows:
